Job Overview A law firm seeks an experienced Private Funds Associate in Chicago to join their Asset Management Group. The ideal candidate will have three to six years of relevant legal experience advising on the formation, structuring, and operation of private investment funds. This role involves drafting and negotiating fund documents, ensuring regulatory compliance, and providing ongoing advisory support. Duties Advise clients on private investment fund formation and operation. Draft and negotiate fund formation documents. Counsel on fund governance and economic terms. Ensure compliance with securities laws. Advise on regulatory matters and filings. Conduct due diligence reviews. Support fund restructurings and secondary transactions. Assist with fund marketing and investor relations. Draft management company formation documents. Collaborate with cross-practice teams. Monitor legal developments in the private funds industry. Manage multiple matters and mentor junior associates. Requirements Juris Doctor degree from an accredited law school. Admission to the bar or eligibility for prompt admission. Three to six years of experience in private investment fund matters. Strong knowledge of securities laws and regulations. Excellent drafting and negotiation skills. Familiarity with fund economics and investor reporting. Strong analytical and problem-solving skills. Excellent written and verbal communication skills. Strong interpersonal skills and ability to build relationships. Ability to work independently and collaboratively. Proficiency in using AI technologies responsibly. Education Juris Doctor degree from an accredited law school. Certifications Admission to the bar or eligibility for prompt admission. Skills Strong knowledge of securities laws and regulations.
