Corporate Attorney/Counsel (Remote or Hybrid)

What You’ll Do Contracts & Commercial Agreements (core of the role) Draft, review, and negotiate commercial agreements: vendor and purchasing agreements, professional services agreements, NDAs, and construction and development agreements (owner, subcontract, and design agreements). Give practical advice on negotiation strategy and contract risk, and build templates and playbooks that speed up routine deals. Corporate Governance & Entities Manage entity formation and maintenance, operating agreements, board and member resolutions, and corporate records across a multi-entity portfolio. Deals & Strategic Projects Support acquisitions, dispositions, restructurings, and joint ventures, including due diligence and closing documents. Manage outside counsel on litigation and specialized matters. Risk & Compliance Spot legal risk in operations and recommend business-friendly solutions. Participate in insurance renewals and monitor insurance and certificate compliance. Help develop internal policies and process improvements. What You Bring Required J.D. and an active law license in good standing in at least one U.S. jurisdiction, with eligibility to register or practice as in-house counsel where you reside. 5+ years of corporate or commercial transactional experience at a law firm, in-house, or both. Strong contract drafting and negotiation skills. Comfort advising non-lawyer executives and giving clear, practical answers. Nice to Have Construction, real estate, engineering, or manufacturing industry experience (not required; we’ll teach the industry). M&A or private-company deal experience. Experience with entity management for multi-entity groups.
