Fund Formation Associate | Los Angeles | Am Law 200 ranked

Watts & Associates is working discreetly with a highly regarded Am Law 200 ranked national law firm seeking a 4th to 6th year Private Investment Funds and Fund Formation Associate to join its Los Angeles California office on an in office basis. This is a transactional funds role for an associate who wants meaningful ownership of matters, direct client contact, and a path to long term progression within a busy private investment funds practice. The firm offers a sophisticated sponsor and investor side platform, with partner led mentorship and a collaborative team environment. The Los Angeles office works in office five days per week. The Opportunity You will support and lead private fund formation and investment management matters, including drafting and negotiating limited partnership agreements, private placement memoranda, subscription materials, side letters, and advisory committee and governance documents. The practice also advises on regulatory compliance, secondary transactions, coinvestment vehicles, and capital deployment issues across a varied pipeline of fund strategies. Ideal Candidate Profile 4 to 6 years of law firm experience in private fund formation and investment management Experience drafting and negotiating limited partnership agreements, private placement memoranda, subscription documents, and side letters Active California bar membership or eligibility for prompt admission in California Ability to manage sponsor side and investor side engagements with significant client responsibility Strong knowledge of fund regulatory compliance and related transactional work, including secondary transactions and coinvestment structures Why This Opportunity Stands Out This role is well suited to an associate who wants to step into a true managing associate lane, with hands on drafting and negotiation responsibility and regular interaction with sophisticated fund sponsors and institutional investors.
