Direct Counsel is seeking a Corporate Associate to join a premier Private Equity practice in Houston. This is an exceptional opportunity for an attorney looking to work with leading private equity sponsors and corporate clients on sophisticated acquisitions, investments, joint ventures, and strategic transactions.

The ideal candidate will have strong transactional experience, excellent drafting and negotiation skills, and the ability to manage complex deals while taking on significant responsibility and client contact.

Responsibilities

• Advise private equity sponsors and corporate clients on complex transactional matters
• Represent clients in:
  • Acquisitions and dispositions
  • Minority investments
  • Joint ventures
  • Strategic corporate transactions
  • General corporate matters
• Draft and negotiate acquisition agreements and ancillary transaction documents
• Manage transactions from inception through closing
• Coordinate due diligence processes and transaction workstreams
• Advise clients on corporate law issues and market transaction terms
• Work directly with clients, investors, management teams, and opposing counsel
• Support business development and client relationship initiatives

Qualifications

• J.D. from an accredited law school
• Law school class years 2021–2023
• Significant experience handling private equity and M&A transactions
• Strong understanding of corporate law and market transaction terms
• Experience drafting and negotiating transaction documents
• Demonstrated ability to manage deals from inception through closing
• Excellent analytical, organizational, and communication skills
• Strong business judgment and client-service orientation
• Entrepreneurial mindset with the ability to work independently and assume substantial responsibility
• Strong academic credentials

Compensation & Benefits

• Salary range: $235,000 – $310,000
