Director, Regulatory Affairs

Our client, a multi-strategy investment management firm backed by leading global family and institutional partners, is seeking a General Counsel to lead its legal, regulatory, and governance function. Job Responsibilities: Serve as lead legal advisor to the executive team, investment professionals, and Board on all legal, regulatory, and governance matters Advise on structuring, formation, and ongoing governance of private fund vehicles, including Investment Company Act compliance (Sections 3(c)(1)/3(c)(2)) Oversee preparation and timely SEC filings, including Form ADV (Parts 1, 2a, 2B), partnering closely with the compliance team Review and approve marketing materials, pitch decks, and investor communications for compliance with the SEC Marketing Rule (206(4)-1) Job Requirements: J.D. and active bar membership, with deep working knowledge of the Investment Company Act and Investment Advisers Act Hands‑on experience with private fund formation and governance, offering document drafting/negotiation for 3(c)(1)/3(c)(7) funds, plus regulatory filing and compliance experience (Form ADV, SEC Marketing Rule reviews, Form PF/13F) Prior experience supporting SEC examinations or regulatory inquiries, with the judgment to translate complex regulatory concepts for non‑lawyer stakeholders #J-18808-Ljbffr
