Interim Securities / Capital Markets Attorney

Job Description

A publicly traded company based in Parsippany, NJ, is seeking an SEC Attorney to support a variety of workstreams, outlined below, for about 6 months with potential for extension. This role will be starting as quickly as they identify the right match and will be 40 hours per week. Bonus points for someone that can be on-site in Parsippany, NJ, at least 4 days per week (possibility for one day remote per week), though not required.

Responsibilities include:

• Draft and support filings under the ’33 and ’34 Acts, including: 10-K, Proxy statement, 10-Q / 8-K work as needed, Section 16 filings, Reg FD matters, earnings-related disclosures

• Support and manage finance and capital markets transactions, including working directly with outside counsel.

• Support debt finance transactions, including asset-based lending and debt capital markets.
\n
• Help with bond issuance and refinancing activity as bonds approach maturity.
\n
• Work closely with finance organization, including the CFO and Treasurer.

Pay will be commensurate with experience, via W-2 with Legalpeople.
