Commercial Counsel

Spectra Logic is seeking a practical, business-minded Commercial Counsel to accelerate commercial growth, lead product contracting, scale supply-chain operations, and improve go-to-market execution while managing legal risk. This attorney will partner closely with Sales, Marketing, Procurement, Operations, Engineering, Finance, and leadership to structure and negotiate agreements, provide clear and risk-balanced guidance, and help the business move efficiently in a fast-paced environment while protecting Spectra’s legal and commercial interests.

This is a hands-on individual-contributor role for an attorney who can independently manage matters from intake through resolution with minimal supervision, exercise sound judgment about escalation, and build scalable contracting processes. Reporting to the Corporate Attorney & Corporate Secretary, the position is hybrid and requires three days per week in Spectra’s Boulder, Colorado office.

Essential Functions

• Draft, review, redline, negotiate, and close a broad range of customer, supplier, vendor, partner, and other commercial agreements, including master services agreements (MSA), master purchase agreements (MPA), standard terms and conditions, statements of work, nondisclosure agreements, amendments, software licenses, support and professional services agreements, security addenda, OEM agreements, distributor and reseller agreements, referral and channel agreements, integration arrangements, and strategic collaborations.
• Support enterprise sales and other revenue-generating transactions, including international sales, by advising on deal structure, contract interpretation, nonstandard terms, approval requirements, and practical paths to closure.
• Draft, negotiate, and scale supplier, procurement, supply-chain, and manufacturing-related agreements, including component and equipment purchases, contract manufacturing, logistics, quality, warranty, tooling, maintenance, and related services arrangements.
• Provide practical guidance on intellectual property, data privacy, cybersecurity, confidentiality, AI and technology use, compliance, and other legal issues arising in commercial transactions.
• Independently manage a steady volume of agreements and competing priorities
• Elevate novel, complex, or higher-risk contracting issues to the Corporate Attorney, and work along side the Contracts Manager on contracting matters, becoming a resource for the Contracts Manager.
• Help improve contract-management infrastructure, workflows, reporting, knowledge management, and vendor-review processes to increase consistency, visibility, and contracting velocity.
• Identify recurring negotiation issues and recommend improvements to standard positions, processes, and risk frameworks.

Additional Responsibilities

• Develop, maintain, and improve templates, clause libraries, playbooks, negotiation guidelines, fallback positions, approval paths, intake procedures, and self-service resources.
• Advise on federal government and SLED contracting, including FAR/DFARs
• Assist with related commercial, intellectual property, employment, HR, compliance, dispute, and corporate matters as needed.

What We Are Looking For

• Juris Doctor degree from an accredited law school and active membership in good standing in at least one U.S. jurisdiction, with eligibility to practice in Colorado as in-house counsel.
• Four to six years of relevant attorney experience, with substantial responsibility for drafting and negotiating commercial agreements – a combination of law-firm and in-house experience is preferred.
• Demonstrated experience supporting revenue-generating transactions, commercialization, product, sales, or other go-to-market functions.
• Meaningful experience with supplier, procurement, or supply-chain contracting. Experience with manufacturing, component supply, equipment acquisition, logistics, quality, warranty, or production-related agreements is strongly preferred.
• Experience with technology transactions, software licensing, data protection, distributor, reseller, channel, or strategic-partnership arrangements is preferred.
• Ability to independently lead negotiations and own matters from intake through execution with minimal supervision while escalating appropriately to the Corporate Attorney.
• Strong understanding of core commercial provisions, including intellectual property, confidentiality, data use, security, indemnification, limitation of liability, warranties, acceptance, termination, remedies, and compliance obligations.
• Excellent issue-spotting, drafting, negotiation, analytical, organizational, and communication skills, with the ability to translate complex legal concepts to non-legal audiences.
• Sound business judgment and a demonstrated ability to balance legal risk with commercial and operational objectives in a fast-moving environment, bringing appropriate issues to the Corporate Attorney’s attention.
• Ability to manage multiple matters of varying complexity, respond to changing priorities, and consistently follow through on commitments, while building trusted relationships with commercial and operational stakeholders at multiple levels.
• Experience improving contracting workflows, templates, playbooks, approval paths, or contract lifecycle management processes is preferred.
• Experience integrating AI into legal work flows is preferred.

Base salary range : $140,000-$175,000 annually. The anticipated base salary offered will depend on relevant experience, qualifications, skills, and business needs. This range is a good-faith estimate of the compensation Spectra expects to offer at the time of posting.

Location: Candidates must reside within commuting distance of our Boulder, CO office. Relocation assistance is not available. Only local candidates will be considered
