Investment Funds Associate (2 to 8 years) | Bay Area The money going into funds is not slowing down. BDCs, non-traded and listed closed-end funds, interval funds, and the newer hybrid structures keep multiplying, and every one of them needs lawyers who actually know the ins and outs of laws. If that is the corner of the market you have been building in, this is a role worth a look. We are hiring a funds associate with 2 to 8 years of experience forming and investment funds. Think business development companies, registered closed-end funds, other private investment funds and the structures that sit next to them. You know what it takes to stand a fund up and, just as important, what it takes to keep one running. What you would actually do: Work on formation and structuring from the ground up, drafting the offering and organizational documents and getting the vehicle through registration. Support fund boards on the governance and compliance questions, from board reporting and fee arrangements to affiliated transactions and the annual approval cycle. Handle the ongoing operational work that keeps sponsors out of trouble: co-investment relief, leverage and asset coverage, valuation policies, and the day-to-day regulatory questions that land on a Friday afternoon. You will sit close to sponsors and management teams, not three steps removed from them. What we are looking for: Two to five years doing top-level funds work Exposure to BDCs and closed-end structures is a major plus. Comfort reading and applying the '40 Act and its rules. Strong drafting, a client-service instinct, and the judgment to know when a question needs to go up the chain. California or NYC Bar If your background is heavier on private funds but you have wanted to move into the registered and retail side, tell us anyway.
