Position Overview
We are seeking a Corporate Associate with strong Mergers & Acquisitions experience to support a broad range of corporate transactional matters. The role will focus on executing M&A transactions and related corporate work, including drafting and negotiating transaction documents, conducting due diligence, advising on securities and regulatory issues, and coordinating closing logistics. The ideal candidate will be comfortable working with private equity and venture capital clients, capital markets matters and cross-border transactions, and will contribute to high-quality client advice and efficient deal execution.

Key Responsibilities
  • Support and lead aspects of Mergers & Acquisitions transactions, including sell-side and buy-side matters, asset and stock purchase agreements, and related closing documentation.
  • Draft, review and negotiate a wide range of transactional documents such as shareholder agreements, joint venture agreements, escrow agreements, and ancillary commercial contracts.
  • Plan, manage and execute due diligence exercises; identify and analyze legal risks and advise clients on mitigation strategies.
  • Structure transactions in coordination with senior counsel, covering deal mechanics, tax considerations and regulatory implications.
  • Prepare and review securities law documentation, assist with IPO-related work, SEC filings and other capital markets matters.
  • Provide corporate governance and corporate secretarial support including entity formation, maintenance, board minutes and corporate resolutions.
  • Coordinate and manage cross-border transactions with foreign counsel, addressing jurisdictional legal and regulatory issues including antitrust and compliance requirements.
  • Draft legal opinions and memoranda on key legal and regulatory issues affecting transactions.
  • Manage closing processes, prepare closing checklists and ensure timely completion of conditions precedent and post-closing deliverables.
  • Counsel clients on employment and benefits issues in transactional contexts and assess AML/KYC and other compliance exposures.
  • Utilize document management and e-signature platforms (e.g., iManage, SharePoint, DocuSign) and conduct legal research using Westlaw/Lexis to support transactions.
  • Supervise and mentor junior associates and paralegals; coordinate multi-disciplinary project teams to meet deadlines and client expectations.
  • Maintain client relationships through effective communication, project management and timely, commercial legal advice.

Qualifications

  • J.D. from an accredited law school and admission to the bar in the applicable jurisdiction.
  • 2-6 years of transactional experience with a demonstrated focus on Mergers & Acquisitions; experience in private equity or venture capital transactions is highly desirable.
  • Proven experience drafting and negotiating asset purchase agreements, stock purchase agreements, shareholder agreements and other transaction documents.
  • Familiarity with securities law, capital markets matters, IPOs and SEC filings.
  • Experience with due diligence, transaction structuring, closing documentation and cross-border transactions.
  • Knowledge of corporate governance, entity formation, corporate secretarial practices, board minutes and resolutions.
  • Experience advising on regulatory compliance matters including antitrust, AML/KYC and other industry-specific regulations.
  • Ability to draft legal opinions and perform risk assessment and tax-related analysis in transactional contexts.
  • Strong commercial judgment, attention to detail, excellent drafting skills and strong oral and written communication abilities.
  • Proficiency with document management systems (iManage, SharePoint), e-signature platforms (DocuSign) and legal research tools (Westlaw/Lexis).
  • Demonstrated project management skills, ability to manage multiple matters and meet deadlines under pressure.
  • Client-focused approach with the ability to work collaboratively across teams and mentor junior staff.
  • Nice-to-have: prior experience in corporate finance, capital markets, corporate restructuring, securities regulatory practice, employment & benefits in transactions, and experience advising on cross-border tax or regulatory issues.
