Tax Associate Attorney – Fund Formation

Direct Counsel is seeking a Tax Associate Attorney to join a prestigious law firm with a sophisticated tax practice, focusing on fund formation and investment fund matters. This opportunity is available in New York, NY or Chicago, IL .

Position Overview

The firm is seeking an attorney with 2–5 years of tax experience representing fund sponsors and investors. The ideal candidate will have experience with venture capital and/or private equity funds , investment fund formations, primary and secondary investments, and joint ventures.

Responsibilities

• Advise fund sponsors and investors on a broad range of tax matters.
• Counsel clients on the formation and structuring of investment funds , including venture capital and private equity funds.
• Advise on the tax aspects of primary and secondary investments .
• Provide tax guidance on joint ventures and related investment structures.
• Analyze and advise on complex federal, state, and international tax considerations affecting investment structures.
• Work directly with clients and other advisors to identify and resolve tax issues.
• Manage multiple concurrent matters and meet deadlines in a fast-paced transactional environment.
• Collaborate with attorneys across corporate, private equity, and other relevant practice areas.
• Develop and maintain strong client relationships .

Qualifications

• 2–5 years of tax experience in a law firm environment.
• Experience representing fund sponsors and investors .
• Experience with investment fund formations strongly preferred.
• Experience with venture capital funds and/or private equity funds preferred.
• Experience advising on primary and secondary investments and joint ventures .
• Strong motivation, initiative, and problem-solving skills .
• Excellent client relations and communication skills.
• Ability to manage several concurrent matters and competing priorities.
• Strong analytical, drafting, and legal research skills.
• High level of academic achievement from a nationally recognized law school.

Compensation

$235,000 – $365,000 annually , with the final offer dependent on geographic location, experience, and skillset.
