Of Counsel - Capital Markets & Public Company Advisory

I’m working on an opportunity for an experienced capital markets lawyer looking for a practice that combines sophisticated transactions with ongoing public company advisory work. The role is with an international firm within its market leading capital markets practice. The successful candidate could be from either New York or Washington D.C. and we are currently working on this role on an exclusive basis.

The role sits within an established national and international platform, advising issuers, underwriters, boards and management teams across a broad range of securities and corporate matters.

The role is for a Counsel and does not require candidates to have a book of business. Rather, the successful candidate could be a Counsel already elsewhere at a peer law firm or, a high performing Senior/Managing Associate looking for the next step up in their career.

The work includes:

• Equity and debt offerings, including IPOs, follow-ons, PIPEs, ATM programs and private placements
• SEC reporting, disclosure and public company compliance
• Corporate governance, exchange requirements and board-level advisory
• Convertible debt, high-yield offerings and other complex financing transactions
• Exposure to M&A, SPAC transactions and other strategic corporate matters

Who might be a fit?

An experienced capital markets or public company securities lawyer operating at Of Counsel level, with strong technical skills, sound commercial judgment and an interest in maintaining a varied transactional and advisory practice.
