Private Equity/Mergers & Acquisitions Associate Attorney
Direct Counsel is seeking a Private Equity/Mergers & Acquisitions Associate Attorney with 2–5 years of experience to join a premier global law firm and its highly regarded Private Equity practice.
LocationsBoston, MA; Chicago, IL; New York, NY; Washington, DC
Position OverviewThe ideal candidate will have experience representing private equity sponsors in the acquisition and disposition of portfolio companies and a strong background in mergers and acquisitions . This role offers the opportunity to work on sophisticated private equity and mergers and acquisitions transactions alongside an elite team serving leading investment firms and corporations.
Responsibilities- Represent private equity sponsors in sophisticated private equity and mergers and acquisitions transactions .
- Advise clients on the acquisition and disposition of portfolio companies .
- Assist with all stages of private equity and mergers and acquisitions transactions, from initial structuring and due diligence through negotiation, documentation, and closing.
- Draft, review, and negotiate transaction documents and related agreements.
- Conduct legal research and analysis regarding corporate, private equity, and mergers and acquisitions matters.
- Coordinate with attorneys across corporate, tax, finance, executive compensation, and other practice areas.
- Manage multiple transactions and deadlines in a fast-paced environment.
- Work closely with clients and senior attorneys to develop practical, business-oriented solutions.
- 2–5 years of corporate transactional experience at a leading law firm.
- Demonstrated experience representing private equity sponsors in the acquisition and disposition of portfolio companies .
- Strong understanding of private equity transactions and mergers and acquisitions .
- Experience with sophisticated corporate transactions and related documentation.
- Excellent drafting, analytical, negotiation, and communication skills.
- Strong academic credentials.
- Ability to manage multiple matters and work effectively in a team-oriented environment.
- J.D. from an accredited law school.
- Admission to practice and good standing in the jurisdiction where the candidate resides.
The anticipated salary range for this position is $235,000–$365,000 annually , depending on experience and other relevant factors.
