Reporting to the Associate General Counsel & Corporate Secretary, this role will focus on corporate law, with an emphasis on supporting corporate transactions, including mergers and acquisitions, business development initiatives, financing and capital markets activity, and supporting the related client groups across the organization. The successful candidate will work closely with the corporate legal team and internal stakeholders to provide strategic and practical legal advice that enables business objectives while managing legal risk. This position is open to candidates located in either Houston, Texas, United States or Calgary, Alberta, Canada.What You’ll Do:Where appropriate, you will work independently and as part of a team to fulfill the specific responsibilities which may include the following:Partner with internal client groups (corporate development, business development, finance, treasury, investor relations, tax, human resources, external affairs, etc.) to deliver timely and effective legal supportAssist with corporate transactions, including NDAs, structuring, negotiation, drafting, diligence, closings, and post-close integrationsSupport public and private financing activities, including debt and equity offerings, credit facilities, and other financing and capital markets activitiesIdentify and assess legal risks and developing strategies to mitigate risk and protect the Company’s interestsOversee legal due diligence for transactional and related activitiesAdvise on applicable governance matters and securities laws, disclosure, and stock exchange requirementsInstruct and direct the activity of external counsel to support complex transactionsAct as a trusted advisor by taking ownership of assigned matters, fostering collaboration within a small, dynamic legal team, and influencing outcomes through clear, practical legal adviceMinimum Qualifications:7+ years of relevant experience in corporate (securities and/or M&A) lawJuris Doctor (JD) or LLB from an accredited law schoolLegally authorized to work in the United States or CanadaPreferred Qualifications:Ability to build strong cross functional relationships and influence outcomes through practical, business focused legal guidanceStrong business acumen with the ability to align legal strategies to South Bow’s broader objectivesProven problem-solving skills and comfort exercising independent judgment and ownership over processes and decisionsDemonstrated accountability and commitment to delivering high-quality work within a high performing, collaborative legal teamAdaptability and willingness to support a wide range of legal matters to contribute to team successThis position requires candidates to:Have current, valid authorization to travel internationally (including but not limited to Canada and US)Travel to other company locations for temporary assignments, meetings or training (estimated up 5% of work schedule)Successfully complete pre-employment Bankruptcy, Credit, Civil and Criminal background checksAbout our businessSouth Bow's existing oil & liquids pipeline infrastructure connects Alberta crude oil supplies to U.S. refining markets in Illinois, Oklahoma, Texas and the U.S. Gulf Coast.
