Job Title: Assistant General Counsel, Corporate & Securities
Location: New York, NY. Hybrid, 3 days per week in office. About the Opportunity A global, market leading beauty company is seeking an experienced corporate and securities lawyer to join its legal team in a highly visible role supporting enterprise governance, capital markets activity, and global corporate structure. This is a senior individual contributor position within a sophisticated, international legal function, offering direct exposure to senior leadership and the opportunity to shape governance frameworks and strategic initiatives across a complex global business. Responsibilities Lead U.S. corporate governance and securities law matters, including:- Disclosure obligations and public facing materials
- Investor communications
- Governance policies and compliance frameworks
- Proxy statement preparation
- Section 16 and related compliance
- Financings
- Corporate restructuring initiatives.
- Drafting and negotiating complex commercial agreements
- Advising on manufacturing and operational risk
- Approximately 8-12+ years of legal experience
- Background in corporate and securities law from a leading law firm; in house experience preferred
- Strong experience with corporate governance and disclosure, capital markets and financing transactions, and multinational or cross border legal matters
- Experience operating in a global, matrixed organization
- Exposure to procurement, supply chain, or commercial contracting is a plus
- Excellent drafting, negotiation, and stakeholder management skills
- Ability to manage multiple high priority workstreams in a fast-paced environment
