Job Details

We are seeking an experienced Associate Corporate Counsel to join our in-house legal team in Dallas, Texas. This attorney will provide practical legal guidance across a wide range of commercial, operational, contractual, and dispute-related matters.

The position will work closely with business leaders, project managers, and other internal stakeholders, with a particular emphasis on commercial contracting and risk management.

Key responsibilities include:

• Draft, review, negotiate, and manage a significant volume of commercial agreements
• Handle client contracts, subcontractor and subconsultant agreements, amendments, change orders, insurance-related documentation, and similar project documents
• Evaluate contractual risk and provide practical recommendations that balance legal protection with business and project objectives
• Advise internal teams on commercial, operational, compliance, and risk-related issues
• Manage contractual disputes, claims, subpoenas, and litigation matters
• Select, direct, and oversee outside counsel while monitoring strategy, performance, and legal spend
• Partner with project and business teams operating within complex, multi-party contractual relationships
• Support compliance with applicable federal, state, and local requirements, including government contracting obligations when relevant
• Communicate legal issues in a clear and practical manner to non-legal stakeholders
• Develop and improve contract templates, negotiation guidance, internal playbooks, and legal processes
• Work cross-functionally to promote consistent risk-management practices throughout the organization
• Provide additional corporate legal support as business needs arise

Qualifications:

• JD from an accredited law school
• Active bar license in good standing
• Approximately 7-10 years of legal experience
• Significant corporate or in-house legal experience
• Strong background in commercial contract drafting and negotiation
• Experience managing contracts throughout their lifecycle
• Experience advising a project-based business with sophisticated contracting relationships
• Background in professional services, engineering, construction, infrastructure, or a similar industry is strongly preferred
• Experience handling commercial claims, contract disputes, and litigation matters
• Experience directly managing outside counsel
• Ability to evaluate legal risk while considering business and operational priorities
• Strong judgment and ability to work independently
• Demonstrated ability to build relationships with senior leaders and cross-functional teams
• Strong written and verbal communication skills
• Ability to manage numerous matters and changing priorities simultaneously
• Willingness to travel when business needs require it
