As we continue to pursue new goals, it's an exciting time to join the Bragg team. We are currently hiring an Assisted General Counsel for our Long Beach, CA branch.

Key Responsibilities:

• Contract Department Leadership & Oversight: Recruit, interview, hire, train, develop, and manage Contract Department personnel. Oversee daily workflow, establish contract review procedures, negotiation standards, risk management protocols, and ensure consistency in risk assessment across all operating divisions.
• Complex Contract Structuring & Negotiation: Lead the drafting, review, negotiation, and execution of complex construction contracts, real estate purchase and lease agreements, equipment rental and sales contracts, franchise agreements, subcontracts, purchase orders, and professional services agreements.
• Risk Management & Contract Compliance: Evaluate and negotiate liability allocations, indemnity obligations, insurance requirements, consequential damages waivers, performance security requirements, and flow-down contract provisions to protect organizational interests.
• Project Advisory & Claims Prevention: Provide real-time legal guidance to project executives and operational leaders regarding contract interpretation, change order management, schedule impacts, differing site conditions, force majeure events, acceleration claims, and contract notice requirements.
• Regulatory Compliance & Corporate Governance: Ensure compliance with applicable state and federal laws, including prompt payment statutes, mechanics lien laws, public contracting requirements, prevailing wage regulations, environmental regulations, contractor licensing requirements, and workforce mandates.
• Dispute Resolution & Litigation Management: Direct pre-litigation dispute resolution efforts, including meet-and-confer sessions, mediations, and project evaluations. Manage outside counsel, oversee litigation strategy, control legal budgets, and support arbitration and trial proceedings.
• Employment, Labor & Strategic Business Support: Advise leadership on employment law matters, labor relations, workplace investigations, leaves of absence, workforce reductions, and strategic initiatives including acquisitions, divestitures, joint ventures, and real estate transactions.
• Executive Reporting & Cross-Functional Collaboration: Partner with executive leadership, Risk Management, and operational teams to address legal risks, oversee insurance and claims programs, maintain company standards, and report key legal initiatives, risks, and departmental performance metrics.

Required Qualifications:

• Juris Doctor (J.D.): Graduate of an ABA-accredited law school.
• California Bar Membership: Active member in good standing with the State Bar of California.
• Construction Law Expertise: Minimum of 5-10 years of dedicated construction law experience in a leading construction law firm or an in-house legal department supporting a major contractor.
• Contract Negotiation Experience: Demonstrated success independently negotiating and managing complex construction contracts valued at $100 million or greater.
• California Regulatory Knowledge: Deep working knowledge of California laws governing public works, private commercial construction projects, mechanics liens, prompt payment requirements, prevailing wage laws, and contractor licensing regulations.
• Risk Assessment & Business Acumen: Ability to identify legal and commercial risks and provide practical, business-focused solutions that support operational objectives.
• Leadership & Team Development: Proven experience leading, mentoring, and developing legal or contract management professionals while managing departmental priorities and performance.
• Negotiation & Communication Skills: Exceptional communication and negotiation abilities with the capacity to translate complex legal concepts into actionable business recommendations for executives and stakeholders.

Preferred Qualifications:

• In-House Construction Industry Experience: Experience supporting construction, heavy equipment, real estate, infrastructure, or related industries in a corporate legal environment.
• Strategic Transactions Experience: Experience supporting mergers and acquisitions, business expansions, real estate transactions, joint ventures, and other strategic corporate initiatives.
• Insurance & Risk Management Knowledge: Familiarity with OCIP/CCIP programs, contractor-controlled insurance arrangements, coverage disputes, and claims management processes.

Physical Requirements:

• Office Environment: Ability to work in a professional office setting with prolonged periods of sitting and extensive computer use.
• Lifting Requirements: Must be able to occasionally lift and carry up to 15 pounds.
• Work Demands: Ability to manage multiple priorities, analyze complex legal matters, and effectively support operational teams in a fast-paced business environment.

Accountability:

• Executive Reporting: Accountable to the General Counsel and VP of Legal for the successful execution of all legal, contractual, compliance, and risk management responsibilities.
• Performance & Risk Communication: Responsible for providing regular updates on key performance indicators, material legal risks, claims activity, and strategic initiatives to executive leadership.

What We Offer:

• Salary: $185,000.00 - $215,000.00 per year
