Senior Corporate Finance Attorney

A boutique corporate law practice is seeking an experienced Senior Corporate Finance Attorney to advise emerging growth companies, founders, investors, and boards on sophisticated corporate finance transactions. This role is ideal for an attorney with substantial experience handling venture financings, private placements, corporate governance matters, and other strategic corporate transactions throughout the business lifecycle.

Key Responsibilities

• Lead corporate finance and venture capital transactions from initial structuring through closing.
• Advise founders, boards of directors, investors, and emerging companies on financing strategies and corporate matters.
• Draft, review, and negotiate financing, investment, and related transactional documents.
• Handle private placement securities offerings and related corporate transactions.
• Counsel clients on corporate governance, organizational matters, and ongoing compliance.
• Manage client relationships while overseeing multiple transactions simultaneously.
• Collaborate with senior attorneys on complex corporate finance and strategic business matters.

Location

• San Diego preferred; Los Angeles and San Francisco Bay Area candidates will also be considered. Hybrid work flexibility is available.

Candidate Requirements

• 5–7+ years of corporate finance and Emerging Companies & Venture Capital (ECVC) transactional experience.
• Significant experience representing companies and investors in venture capital financing transactions.
• Strong background in corporate finance, private placements, and corporate governance.
• Active membership in the California Bar.
• Excellent client management, negotiation, and transaction leadership skills.
• A representative deal sheet is required.

Compensation & Benefits

Compensation

• Target total compensation: $300,000–$420,000+
• Base salary: $165,000–$200,000
• Additional origination compensation available.
• No cap on earnings.
