Direct Counsel is representing an AmLaw 100 firm seeking a mid-to-senior level Corporate Associate (4–6 years) to join its highly regarded Capital Markets & Public Companies practice .

This nationally recognized corporate practice advises innovative technology and life sciences companies at every stage of growth — from emerging startups to publicly traded corporations.

Responsibilities

• Advise public companies on:
  • SEC compliance and reporting
  • Corporate governance matters
  • Exchange listing and disclosure obligations
• Represent issuers and investment banks in capital markets transactions, including:
  • IPOs
  • SPAC transactions
  • Direct listings
  • Follow-on offerings
• Work closely with high-growth technology and life sciences clients on sophisticated transactional matters

Qualifications

• 4–6 years of corporate experience focused on capital markets and public company representation
• Experience advising public companies and/or investment banks
• Strong background handling SEC reporting and compliance matters
• Prior experience with IPOs, SPACs, direct listings, and follow-on offerings required
• Interest or experience in the technology and/or life sciences sectors preferred
• Excellent academic credentials and strong written, oral, and interpersonal skills
• Must be admitted to practice in the jurisdiction of the office applied to, or eligible to waive/sit for the next bar exam

Compensation

• Salary Range: $310,000 – $390,000
  Compensation will depend on experience, qualifications, and location. Bonus eligibility and comprehensive benefits are also offered.
