Through disciplined and accretive investments, we have successfully tripled the size of our company since going public in December 2021 while maintaining a strong balance sheet.Crescent Energy is seeking a Corporate Counsel to join its legal department in Houston. This attorney will serve as a key member of a six-person legal team and report directly to the General Counsel. The role provides expert counsel on securities law compliance, public company disclosure, and corporate governance, and serves as an important business partner across Finance, Investor Relations, Treasury, and executive leadership.Key ResponsibilitiesTake a primary legal role in the preparation and review of the Company’s SEC filings, including Forms 10-K, 10-Q, 8-K, proxy statements, and other disclosure documents under the Securities Act of 1933 and Securities Exchange Act of 1934Ensure compliance with SEC and NYSE rules, insider trading policies, and applicable corporate governance requirementsAdvise the Board of Directors and senior management on corporate governance matters; assist with preparation of board and committee meeting materialsAdminister the Company’s insider trading policy; prepare and manage Section 16 filings and equity incentive plan mattersSupport public and private securities offerings, debt financing, and M&A transactions, including due diligence and drafting and negotiating transaction documentsAssist in drafting and reviewing investor relations materials to ensure legal compliancePrepare corporate documents including minutes, resolutions, and certificates; manage corporate recordsOversee corporate entity management and updates to the Company’s organization chartMonitor and advise on developments in SEC rules, NYSE listing standards, and corporate governance best practicesCoordinate with outside corporate and securities counselQualificationsJD from a top ABA-accredited law school;Active admission to the State Bar of Texas, in good standing4+ years of relevant experience in corporate and securities law with publicly traded upstream oil and gas companies, with foundational training at a law firm with a nationally recognized upstream energy practice, including:Experience with EDGAR and governance platforms (e.g., Diligent) preferredExperience with both high yield debt and public equity offerings for upstream energy companiesExperience reviewing and drafting significant portions of filings required under the Exchange Act of 1934, as amended (including Forms 10-K, 10-Q, 8-K)Experience with Section 16 reportingExperience with M&A transactions in the upstream oil and gas industryExperience with corporate governance matters, including drafting organizational documents, resolutions, consents and other entity management documentsDemonstrated knowledge of the Securities Act of 1933, Securities Exchange Act of 1934, Sarbanes-Oxley, Dodd-Frank, and applicable SEC rules (Reg S-K, Reg S-X, Reg FD)Familiarity with NYSE listing standards and insider trading compliance programsSuperior drafting skills and strong analytical and risk-assessment instinctsAbility to translate complex legal and regulatory requirements into clear, practical guidance for business stakeholdersHigh degree of professionalism, discretion, and sound judgment; comfortable interfacing with senior executives and board members#LI-DNPCrescent Energy is an equal opportunity employer.
