Senior Director, M&A Integration and Deal Execution

As Teradyne continues to pursue inorganic growth, execution excellence across transactions is critical to protecting value and ensuring consistent outcomes.OPPORTUNITY OVERVIEWTeradyne is seeking a senior program leader to run the execution engine behind our inorganic growth. This role serves as program manager for every active transaction across the Semi and Product Test and Robotics business groups, and leads the integration effort once a transaction closes.The role exists because integration outcomes are largely determined during diligence rather than after close. The same leader carries the thread from the first workstream kickoff through Day 1 and on to the point at which integration is formally complete and the business owns steady state.This is a senior individual contributor role with regular exposure to Teradyne’s executive team. The function is being built out, and this person will define how the work gets done rather than inherit a settled process. The role chairs the Integration Management Office, sets the transaction and integration operating cadence, and holds a defined escalation path to the deal sponsor and the executive steering committee. The role requires periodic domestic and international travel, primarily in Asia. The function is increasingly onsite, and this role is expected to work from the office approximately four days per week.KEY RESPONSIBILITIESDeal Execution (Pre-Close)Serve as program manager for all active transactions across the Semi and Product Test and Robotics business groups. Own the deal calendar, the workstream plan, and the single source of truth for status, decisions, risks, and action owners.Run the diligence operating cadence, including workstream kickoff, functional coverage, issue escalation, and closure of every open item before signing. Ensure findings with integration or value implications are carried forward rather than lost at handoff.Drive Finance, Legal, IT, HR, Operations, Supply Chain, Engineering, and Sales to committed dates. Escalate slippage to the deal sponsor early and directly.Own the closing checklist and conditions precedent through signing and close.Manage deal infrastructure, including the virtual data room, external advisor coordination, deal budget and fee tracking, approval workflow, and executive and board approval logistics.Begin integration planning during diligence. Convert the investment thesis and diligence findings into a Day 1 plan and a first hundred days plan before close.Integration Leadership (Post-Close)Lead the Integration Management Office. Chair the integration steering cadence and hold functional leads to milestones and dates.Own Day 1 readiness across all functions, confirming that the acquired business can operate, sell, ship, pay, and be paid from Day 1.Translate the investment thesis into a tracked integration plan with owners, dates, dependencies, and defined exit criteria.Establish the synergy baseline from the deal model and maintain transparent tracking of cost and revenue synergy delivery against it. The business owns delivery; this role owns visibility, early warning, and escalation.Manage the risks that erode deal value, including product roadmap continuity, customer and design win commitments, key talent retention, supply chain and requalification exposure, and operating model disruption.Manage transition services agreements on both the buy side and the sell side, including scope, cost, and exit.Declare integration complete against pre-agreed criteria and transition steady state ownership to the business.Governance and Executive CommunicationProduce the executive and board view of transaction and integration status, making clear what is on track, what is not, and what decision is required by when.Maintain the decision log and supporting rationale so that institutional memory survives personnel change.Surface issues early and with a recommendation attached.Capability BuildingBuild the integration playbook, functional checklists, Day 1 templates, and integration scorecards, moving Teradyne from bespoke execution to a repeatable capability.Run structured post-close reviews at six and twelve months against the original investment thesis, and feed findings back into diligence and valuation practice.Deploy modern program management and AI-enabled M&A tooling to reduce manual tracking burden and improve transparency.Apply the same execution discipline to divestitures and separations.REQUIRED BACKGROUND AND QUALIFICATIONS12+ years of experience, including at least five years in M&A integration or transaction program management.Early career experience in a top tier consulting or Big 4 M&A integration practice, followed by in-house ownership of integration outcomes.Personally led at least three integrations end to end, including at least one of significant complexity, such as a cross-border transaction or a business with its own product roadmap and manufacturing footprint.Demonstrated ability to hold senior functional leaders to commitments without formal authority over them.Experience in technology, semiconductor, semiconductor capital equipment, or engineering-driven manufacturing environments.Exceptional written discipline and bias toward structure, documentation, and transparent follow-through.Comfort operating as a senior individual contributor with regular engagement with executive leadership and cross-functional partners.Bachelor’s degree in engineering, business, or a related discipline.PREFERRED QUALIFICATIONSExperience at a serial acquirer with a codified operating system for integration.Divestiture, separation, and transition services agreement experience.Master’s degree (MBA or technical master’s).EQUAL OPPORTUNITYTeradyne values diversity of thought, experience, and background, and is committed to creating an inclusive environment where all employees can contribute and grow.
