You will support the legal and compliance functions of Galaxy Asset Management across the full spectrum from formation, launch and management of private funds to the investments pursuant to which such funds deploy client capital. The ideal hire should have at least five to seven years of experience at a large law firm's private investment funds group or in-house on asset management legal and investment issues, credit risk, fund formations, private venture-style investments, hedge funds and other active and passive investing strategies.Draft, review and execute on fund formation documentation, including entity formation, governance documentation, subscription documentation, and bespoke side letter agreements with limited partnersAdvise on private credit, leveraged finance, credit risk transaction structuring, risk assessment and legal negotiation including direct lending and private debt transactionsCoordinate with external legal counsel, where applicable, as well as internal portfolio managers and sales teams on legal diligence, negotiation and execution of new investment opportunitiesAdvise internal stakeholders with respect to ongoing fund management matters, such as limited partner outreach, limited partner advisory committee (LPAC) management, updates to fund disclosure and offering documentation as needed and liquidations of funds following the conclusion of applicable investment periodsAssist Galaxy Asset Management's Chief Compliance Officer and compliance team on legal matters relating to the formation and maintenance of Galaxy Asset Management funds and productsWhile the bulk of this role is expected to primarily focus on fund, investment and product-level matters, there will be opportunities for the right candidate to work with and alongside Venture Counsel in the diligence, negotiation and execution of private venture investments made by the various investing teams within Galaxy Asset Management, as well as other matters relating to asset management products, such as regulatory review and advising with respect to crypto-relevant issues and new asset management productsEmbrace and champion the thoughtful adoption of AI to improve team performance and business outcomesLeverage AI tools (e.g., generative AI, automation platforms, data copilots) to improve productivity, decision-making, and output quality in your day-to-day workThe ideal candidate will be highly organized, have meticulous attention to detail and a demonstrated ability to produce high quality work product in a fast-paced, high-volume environment where multiple projects may be active simultaneouslyMinimum 5-7 years of relevant prior experience with a large law firm or in-house in a credit risk, private investment and/or funds formation or asset management counsel capacityExperience and knowledge with legal issues present for asset managers and Registered Investment Advisors, including the Investment Advisers Act of 1940, applicable SEC and CFTC rules and regulations, fund structuring (onshore and offshore), conflict of interest management and allocation of investment opportunities across multiple funds and fund types including private funds, ETFs and '40 Act fundsAbility to navigate and manage transactions involving multiple parties, financial structures and unique terms and conditionsInterest in issues relating to digital assets is required; experience and/or prior knowledge in the space is a plusHighly motivated, self-starter who takes initiative.Positive attitude, and willingness to roll up sleeves (no job too big, no job too small).Collaborative team member with a high level of professionalism and outstanding business judgment.Excellent written and oral communication skills.Active membership in the NY state barCompetitive base salary and discretionary bonusHybrid/Flexible Working ArrangementsFlexible Time Off (paid)3% 401(k) company contributionCompany-paid health and protective benefits for employees, partners, and other dependentsGenerous paid Parental LeaveCompetitive family planning benefits for US employeesOpportunities to learn about the Crypto industrySmart, entrepreneurial, and fun colleaguesFree daily snacks and weekly breakfasts/lunchesEmployee Resource GroupsFree coaching and counseling sessions through HeadspaceApply now and join us as we grow the economy that runs on code.The base salary ranges included below will be commensurate with candidate experience, expertise and local market. Final offer amounts are determined by multiple factors, including candidate experience and expertise.
