As a corporate attorney, you will be a part of this team working alongside the General Counsel and playing a crucial role in these business matters and various areas of corporate law in pursuit of our mission to reverse disease, injury, and the disabilities that can occur throughout life.The position reports to the General Counsel and is an onsite role in Redwood City, California.ResponsibilitiesSupport General Counsel in drafting and negotiating agreements (including business services agreements, licensing and IP agreements, clinical trial agreements, collaborations, and the like) with third parties to develop favorable termsReview agreements for accuracy, comprehensiveness, and compliance with all relevant regulationsSupport legal processes in corporate due diligence, mergers, acquisitions, and complex business transactions mattersCommunicate with in-house and external counsel to prepare and manage transaction documents and deal mattersAdvise stakeholders on contractual risk and compliance mattersConsult on general corporate and licensing legal mattersBuild a collaborative partnership with other legal and business functions to ensure alignment of objectives and prioritiesDevelop business acumen and strategic legal skills as second chair to the General CounselMaintain current knowledge of legal developments and emerging industry trendsManage outside counsel work product and budget, as neededBe a model of high integrityOther assignments and responsibilities as assigned by your managerMinimum Qualifications6+/11+ (Associate Director/Director) years of experience in corporate and licensing transactions in the life sciencesLaw firm only experience welcomeDemonstrated experience in transactions involving and between companies (private or public)Familiarity with intellectual property concepts and licensing practicesDemonstrated experience supporting senior attorneys/partners in complex transactional work (e.g., asset acquisition, M&A)Relevant technical background (science or engineering degree(s)) a plusJuris Doctorate from an ABA-accredited law schoolAdmission to the California Bar or the ability to qualify as Registered In-House CounselKnowledge of national regulations, mergers and acquisitions, and general corporate lawFamiliarity with corporate structuresUnderstanding of regional regulations and cross-border transactions for for-profit entitiesAttentive to detailAdept at working independently and reliably under tight timeframes in a fast-paced environmentExcellent written, verbal, and interpersonal communication skillsThe salary range for Redwood City, CASenior Counsel II: $ 284,800 - $365,100Exact compensation may vary based on skills, experience, and location.Equal Opportunity EmploymentWe value collaboration and scientific excellence.We believe that a culture of belonging are foundational to scientific innovation and inquiry.
