Our firm is seeking a Corporate Attorney to join our highly regarded transactional practice. We represent private equity sponsors, portfolio companies, founders, management teams, family-owned businesses, and investors in sophisticated corporate transactions across a wide range of industries.

What You'll Do

• Represent buyers, sellers, investors, and portfolio companies in mergers and acquisitions transactions
• Draft and negotiate:
  • Purchase agreements
  • Merger agreements
  • Operating agreements
  • Shareholder agreements
  • Corporate governance documents
  • Ancillary transaction documents
• Conduct due diligence and assist in transaction management
• Support private equity and strategic acquisitions
• Advise clients on corporate governance and general business matters
• Work directly with partners and clients on sophisticated transactions from letter of intent through closing
• Coordinate with specialists across tax, finance, employment, and regulatory matters

Ideal Candidate

• J.D. from an accredited law school
• Active bar admission in Connecticut, New York, or ability to waive in
• 1-6 years of corporate transactional experience
• Experience with mergers and acquisitions transactions strongly preferred
• Mid-level associate experience handling key transaction components is ideal
• Strong drafting, negotiation, and project management skills
• Excellent academic credentials
• Background from an AmLaw firm, regional powerhouse, or sophisticated corporate boutique preferred
