Legal Counsel - Real Estate Acquisitions & Development

Legal Counsel – Acquisitions & Development (San Diego, CA) Responsible for providing legal counsel for newly acquired properties, including acquisition and development transactions, lease administration, environmental compliance, and tenant workouts. Works with in‑house attorneys, paralegals, outside counsel, and third‑party service providers. Key Responsibilities Coordinate, analyze, manage, negotiate, document, and close multifaceted real‑estate acquisition and development transactions. Review, draft, negotiate and approve acquisition documents (e.g., confidentiality agreements, letters of intent, purchase agreements, escrow instructions, lease agreements, development agreements, deeds, closing documents, etc.). Review, evaluate, and approve reports related to property acquisition (title commitments, plats, site plans, environmental reports, surveys, etc.). Analyze entitlement status and zoning issues. Review and negotiate lender consent documents related to in‑place loans. Supervise paralegals and legal assistants in escrow closings and post‑closing matters. Assess potential exposure and advise on legal issues arising during acquisition. Communicate and negotiate with brokers, external counsel, third‑party vendors. Second‑level review of attorney and paralegal work. General legal research, advice, and document drafting for all departments. Handle property‑management matters: lease administration, condemnations, easements, environmental compliance, lease compliance. Participate in tenant workouts: negotiate tenant defaults, draft workout documents, oversee local counsel. Manage litigation, property and liability insurance claims. Qualifications Juris Doctorate from an accredited law school. Minimum three years of commercial real‑estate acquisitions and development experience (in‑house or firm). Active bar license in good standing in the applicable state. Experience working cross‑functionally in a corporate setting and using business acumen to resolve complex real‑estate issues. Compensation & Benefits Salary ranges: Legal Counsel $120,968 – $175,490 annually; Senior Legal Counsel $121,358 – $202,265 annually. Possibility of discretionary bonus and stock award.
