Supports startups, capital markets, and mergers and acquisitions matters across various U.S. offices, including Silicon Valley, San Francisco, Boston, New York, Los Angeles, Seattle, and Washington D.C. The role involves managing corporate records, implementing stock option plans, and handling venture capital financings for technology and life sciences companies. Responsibilities include preparing for IPOs and public company compliance, such as registration statements, beneficial ownership reports, Section 16 filings, and stock exchange applications. The role also entails organizing due diligence for mergers and acquisitions, coordinating shareholder communications, and drafting closing documents. The ideal candidate will have experience with capitalization maintenance platforms like Carta and Shareworks, strong communication and organizational skills, and comfort working with AI tools. They should be capable of multitasking in a deadline-driven environment, ideally with experience in large corporate or law firm settings, and possess substantial proficiency with Excel. A four-year degree and/or ABA-accredited paralegal certificate, along with over three years of corporate and transactional experience, are required. The position offers a hybrid work schedule with a 37.5-hour workweek, and the salary range is approximately $85,000 to $133,750.
