Associate Counsel

Associate Counsel – Technology & Information Security Avantor is seeking an Associate Counsel to serve as a member of the technology and information security legal team. The role focuses on legal matters related to cloud technology, digital platforms, SaaS transactions, licensing and technology vendor agreements. The successful candidate will work closely with IT, Privacy, Sourcing, and Sales teams to enable technology usage. Remote position. Responsibilities Draft, review, and revise agreements, including routine sales agreements and non‑standard agreements for customers, suppliers, distributors, clinical, service and consulting. Learn Avantor contracting policies and analyze draft contracts in accordance with policies. Advise on complex IT vendor agreements and digital product contracting efforts. Develop and support playbooks and templates for consistent legal review across IT, security engagements, and technology agreements. Review data processing agreements. Ensure alignment with IT and business strategies. Escalate complex legal and factual issues to senior attorneys and assist in resolution. Create, implement and manage systems that enable efficient creation, negotiation, oversight and execution of agreements. Coordinate contract negotiation with multiple cross‑departmental functions. Obtain internal approvals for contract terms and provisions. Identify opportunities for process improvements. Perform file management and records retention duties. Provide assistance and guidance to Contracts Specialists within the department. Communicate with Senior Leadership regarding legal risks and provide solutions. Perform other duties as assigned. Qualifications Minimum 5–10 years of applicable professional experience in a law firm or corporate legal department. Experience handling multiple matters simultaneously and meeting quick turnaround deadlines. Ability to translate technical concepts into practical legal guidance for cross‑functional teams. Excellent judgment and collaboration skills. Initiates, embraces, and drives change in a dynamic environment. Works well independently and in a team. Provides timely and strategic legal advice. Proficient with Microsoft Office Suite (Word, Excel, Access, PowerPoint). Education JD from an accredited law school. Admitted to practice law and in good standing with the bar of at least one U.S. state or the District of Columbia. Meets local legal license requirements.
