Corporate Associate Attorney Cleveland, Ohio 4–6 Years Experience $210,000–$265,000 A respected AmLaw 100 firm is seeking a Corporate Associate Attorney to join its Cleveland office. This opportunity is ideal for an attorney looking to work on sophisticated middle‑market private equity and transactional matters within a collaborative and growing corporate platform. The firm is seeking a team‑oriented associate with strong corporate transactional experience who is interested in handling complex business transactions while working closely with partners and clients across a broad range of industries. This role will also provide exposure to the firm’s ESOP practice. The Role Associates in this position may work on matters involving: Middle‑market mergers & acquisitions Buy‑side and sell‑side transactions Private equity transactions Entity formation and corporate governance Financing and restructuring matters Strategic business transactions and joint ventures ESOP‑related transactional matters General outside counsel advisory work for business clients Responsibilities may include: Drafting term sheets and transaction documents Conducting due diligence reviews and preparing diligence reports Drafting purchase agreements, seller notes, board resolutions, and employment agreements Assisting with post‑closing matters and transaction integration support Advising clients on day‑to‑day corporate matters and governance issues Ideal Background 4–6 years of corporate and transactional experience Experience handling sophisticated M&A and private equity transactions Strong drafting, negotiation, and analytical skills Ability to manage transactions in a collaborative, fast‑paced environment Experience with financing and restructuring matters preferred ESOP transaction experience is a plus, but not required Strong interpersonal and client relationship skills JD from an ABA‑accredited law school with strong academic credentials Ohio Bar admission required or ability to waive in Why This Opportunity Sophisticated middle‑market private equity and transactional platform Significant client‑facing responsibility and hands‑on deal experience Exposure to ESOP transactions and specialized corporate work Collaborative and collegial team environment Strong long‑term growth and partnership‑track potential Compensation: $210,000–$265,000 DOE, plus bonus eligibility and comprehensive benefits package Interested candidates should submit a resume and deal sheet for confidential consideration.
