This role leads financial due diligence engagements for private equity sponsors, lenders, and corporate acquirers across a diverse range of middle-market transactions.
You’ll take ownership of the analytical work, client relationship, engagement strategy, and quality of deliverables from kickoff through completion.
The position combines deep transaction expertise with direct exposure to sophisticated deal teams and high-stakes investment decisions.
You’ll lead quality of earnings, working capital, debt, debt-like items, and cash flow analyses, translating complex financial information into commercially relevant conclusions.
Beyond individual engagements, you’ll develop junior talent, contribute to recruiting and business development, and help strengthen methodologies and intellectual capital across the practice.
The environment is entrepreneurial and collaborative, with meaningful Director-level authority and opportunities to contribute visibly to the growth of the broader advisory business.
This remote opportunity is designed for an experienced transaction advisory professional who is decisive under pressure, commercially minded, and comfortable operating with significant ownership and autonomy.

Accountabilities:

• Lead buy-side and sell-side financial due diligence engagements for private equity sponsors, lenders, and corporate acquirers across multiple industries and transaction types.
• Own engagement execution from scoping and workplan development through request-list management, timeline oversight, analysis, and final delivery.
• Direct quality of earnings analyses, including EBITDA normalization and identification of transaction-specific adjustments.
• Lead net working capital assessments, debt and debt-like item analysis, and cash flow reviews.
• Identify transaction risks, financial trends, and deal considerations and communicate their implications clearly to clients and deal teams.
• Prepare and review financial due diligence reports that translate complex financial analysis into concise, actionable investment insights.
• Serve as the primary day-to-day client contact, managing relationships with private equity deal teams, lenders, management teams, and other transaction advisors.
• Lead management interviews and diligence calls with target company finance teams and executives, navigating sensitive issues with professionalism and sound judgment.
• Present findings and key transaction considerations to sophisticated stakeholders with clarity, confidence, and strong supporting analysis.
• Develop and strengthen long-term client relationships, positioning the advisory team as a trusted partner throughout the transaction lifecycle.
• Direct and review the work of Vice Presidents, Senior Associates, and Associates, ensuring analytical accuracy, clear communication, and high-quality deliverables.
• Provide timely, specific coaching and feedback to strengthen team capabilities and professional development.
• Contribute to recruiting, training, mentoring, and broader professional development initiatives.
• Participate in business development activities, including identifying opportunities with existing clients, supporting proposals, and contributing to growth initiatives.
• Help develop and refine transaction advisory methodologies, templates, sector approaches, and other intellectual capital.
• Operate with significant autonomy while keeping senior leadership appropriately informed of engagement progress, risks, and key client considerations.

Requirements:

• 8+ years of progressive financial due diligence or transaction advisory experience within a Big 4 TAS or Deals practice, national advisory firm, or comparable transaction advisory environment.
• Demonstrated experience independently leading full-scope financial due diligence engagements and quality of earnings analyses.
• Strong expertise in net working capital assessments, debt and debt-like items, cash flow analysis, and transaction-related financial considerations.
• Deep knowledge of US GAAP as applied in transaction environments, including EBITDA normalization, working capital mechanics, and purchase agreement considerations.
• Broad exposure to middle-market transactions across sectors such as manufacturing, distribution, business services, technology, and consumer.
• Bachelor’s degree in Accounting, Finance, or a related field required.
• CPA certification is preferred, with an active license or eligibility to obtain one.
• Advanced Excel skills and the ability to analyze large, complex datasets efficiently under transaction-driven deadlines.
• Strong client-facing communication skills, with the ability to explain complex financial findings in clear, commercially relevant language.
• Demonstrated ability to manage multiple priorities and make sound decisions in fast-moving, deadline-driven transaction environments.
• Strong leadership and people-development skills, including the ability to provide substantive coaching, delegate effectively, and maintain high quality standards.
• Ability to manage relationships with senior stakeholders and communicate effectively upward and across engagement teams.
• Entrepreneurial mindset with an interest in building processes, methodologies, client relationships, and practice capabilities.
• Comfortable working with ambiguity and taking ownership of engagements with limited supervision.
• Strong attention to analytical detail combined with the ability to understand broader business and transaction implications.

Benefits:

• Annual base salary range of $190,000–$220,000.
• Annual discretionary bonus targeted at 30% of base salary.
