Associate General Counsel

Associate General Counsel – responsible for providing strategic legal counsel and business guidance across a broad range of topics including labor and employment, benefits, workers’ compensation, commercial contracts, mergers & acquisitions, corporate & project finance, corporate governance, and global compliance. Location Strongsville, Ohio Responsibilities Provide legal advice and practical guidance to business partners and leadership at international locations (EMEA, APAC, Americas). Act as a trusted partner across the organization, advising on legal strategies, risk management and supporting global business objectives. Advise on company policies, business strategy and legal issues, recommending solutions. Manage multiple projects in a fast‑paced environment to ensure timely completion of business initiatives. Provide timely legal advice and counsel to internal stakeholders and collaborate with the Legal Department on time‑sensitive priorities. Serve as a strategic member of the Legal Department leadership team on labor & employment and U.S. employee benefits matters. Advises on HR and employment related issues, monitor federal, state and municipal legal developments and advise the team on new developments. Consult with business unit management on matters regarding EEO, FMLA, FLSA, ADAAA, ADEA, equal pay, OSHA, employee privacy, immigration, diversity & inclusion, affirmative action, performance management and terminations. Support HR on all labor relations issues including contract negotiations, grievance and arbitration, contract interpretation, progressive discipline and employee engagement. Draft and negotiate employment‑related agreements (offer letters, severance agreements, settlement agreements). Oversee immigration‑related matters and monitor outside immigration counsel activities. Review inquiries from state and federal agencies, coordinate research, draft responses and oversee litigation, claims and investigations. Strategize and advise on all litigation and claims matters including employment, EEOC, workers’ compensation, and contract disputes. Respond to demand letters, wage claims and employment‑related charges filed by enforcement agencies. Provide transactional support to Treasury and Finance for capital markets transactions, underwriting and due diligence. Assist with mergers and acquisitions, including drafting NDAs, LITs, term sheets, purchase agreements and coordination with external counsel. Lead work on capex projects, real‑estate transactions, leases, licenses and turnkey acquisitions. Negotiate and draft complex transactions including real‑estate purchases, leases, licenses and distribution contracts. Prepare and maintain corporate records for domestic and international entities, support corporate governance, board and committee meetings. Assist with subsidiary governance, drafts of consents, resolutions, certificates and entity formation or dissolution. Prepare, review and negotiate complex commercial contracts (master services, supply, sales agreements, services, non‑qualified benefit plans, third‑party trust agreements, change‑in‑control matters). Supervise legal professionals engaged with procurement team negotiating vendor contracts for manufacturing materials, equipment and indirect goods/services. Negotiate strategic raw‑material supply agreements and major distribution contracts. Develop company policies, procedures, guidelines, standards and practices. Deliver legal training to employees and contractors as required. Apply legal‑operations principles: process improvement, project management, technology implementation and data analytics to improve legal workflows. Manage legal budgets, control costs and optimize resource allocation for cost‑effectiveness. Maintain relationships with external legal service providers, law firms and legal technology vendors. Qualifications JD from an accredited law school with license to practice in any U.S. state. Minimum 10 years of in‑house experience in complex corporate law (mergers & acquisitions, corporate governance, securities, employment law, litigation, etc.). Demonstrated experience with corporate governance and legal‑operations, including law‑firm budget management, billing, analysis and forecasting. Experience supporting mergers & acquisitions, including due diligence. Strong problem‑solving skills: identify legal issues, analyze problems and provide practical solutions aligned with business goals. Excellent oral and written communication, persuasive, able to inspire confidence across all levels of the company. Proactive business partner, collaborative, able to build positive relationships across cross‑functional teams. Strong contract drafting and negotiation experience (master services, supply, sales agreements, etc.). Ability to anticipate regulatory or business challenges and recommend process, product or service improvements. Leadership experience: lead project teams to achieve milestones and objectives. Proficiency with Microsoft applications and familiarity with project‑management tools. Can manage multiple tasks within strict deadlines with high accuracy and maintain quality. Travel 20% travel required. Compensation & Benefits Base salary range is based on experience, education and training. Variable compensation includes an annual base salary and an annual bonus.
