Sr. Corporate Counsel - M&A/Strategic Transactions

T-Mobile has an exciting opportunity for an attorney to join its Legal Team and work at its corporate headquarters in Bellevue, WA. What you’ll do in your role. Drafting, reviewing, structuring and negotiating the various components of a wide range of stock and asset purchase agreements, spectrum leases, and spectrum acquisition agreements, including associated term sheets, disclosure schedules, non-disclosure agreements, transition services agreements, joint venture agreements, etc. Drafting, reviewing, and negotiating documents associated with early round investments by T-Mobile in growth companies identified by T-Mobile’s corporate strategy team, including all associated documents associated with the applicable equity round. Managing the governance of T-Mobile’s joint ventures and advising on associated issues. Working cross-functionally across tax, accounting, regulatory, privacy/cybersecurity, HR, and others. General legal advice and creative problem solving. The experience you’ll bring. A U.S. law degree and a minimum of 7 years of experience drafting, reviewing, and negotiating complex transactions as a transactional attorney, with top law firm and/or relevant in‑house experience. Strong understanding of transactional law and experience with M&A and joint venture transactions generally. Keen pragmatic business sense with solid judgment and analytical skills, including the ability to translate the needs of senior leaders into action. Proven ability to excel working cross‑functionally with multiple clients in a fast‑paced environment. Ability to work independently and efficiently to meet demanding deadlines. Client‑oriented interpersonal skills. Top‑tier oral and written communication skills. Impeccable attention to detail and strong sense of pride in work product. Current bar membership (in good standing) in at least one U.S. state; eligibility for admission to Washington bar. Additional requirements.
