This is an outstanding opportunity to work with a highly regarded finance team representing a broad range of institutional clients, including commercial banks, commercial finance companies, direct lenders, private equity firms, investors, developers, and nonprofit organizations. The practice handles complex financing transactions across industries, offering attorneys significant exposure to sophisticated lending and transactional matters.Candidate ProfileJD from a top-tier law school with an excellent academic recordActive Bar Admission in relevant jurisdiction, in good standing3-6 years of substantive experience in commercial finance transactionsExtensive experience with a wide range of debt, debt-like, and equity transactions secured by or invested in real estate projectsStrong transactional background with experience handling complex financing matters, including syndicated and portfolio transactionsThorough understanding of Article 9 of the Uniform Commercial Code and the Bankruptcy Code as they relate to commercial finance transactionsExperience representing lenders, borrowers, investors, and other financial institutions in secured and unsecured financing transactionsExperience with workouts, restructuring matters, mergers and acquisitions, and/or private equity transactions is a plusExcellent drafting, negotiation, analytical, and problem-solving skillsExcellent attention to detail, sound business judgment, and strong interpersonal skillsDemonstrated ability to manage multiple deadlines and work collaboratively within a team-oriented environmentCommitment to superior client service, with interest in direct client contact and business development opportunitiesKey ResponsibilitiesRepresent institutional lenders, financial institutions, investors, and other clients in a broad range of commercial finance transactionsStructure, negotiate, and document secured and unsecured lending transactions, including syndicated and portfolio financingsConduct due diligence and review collateral structures, lien perfection issues, and related financing arrangementsAdvise clients regarding Article 9 UCC matters and bankruptcy-related issues arising in commercial lending transactionsDraft and negotiate loan agreements, security agreements, intercreditor agreements, guaranties, and related financing documentsAssist clients with workouts, restructurings, amendments, and other post-closing matters as neededCollaborate closely with partners and clients throughout all phases of transactionsMaintain significant client contact while managing multiple matters in a fast-paced practice environmentWhy Join Us?This is a unique opportunity to join a nationally respected finance practice that advises leading financial institutions, investors, and businesses on sophisticated lending and transactional matters.
