We offer a unique opportunity to join a growing, community and client-focused company that is firmly rooted in its core values.ResponsibilitiesThe Corporate Counsel position provides legal advice and business guidance on a variety of corporate, public company and securities law matters. The primary responsibility for this role is to assist with our general corporate legal needs, including securities matters, corporate governance, board and committee activities, merger and acquisition transactions, subsidiary matters, general contract review and more.Salary Range: $170,000 - $200,000 per year plus bonus. The base salary indicated for this position reflects the compensation range applicable to all levels of the role across the United States. Actual salary offers within this range may vary based on a number of factors, including the specific responsibilities of the position, the candidate's relevant skills and professional experience, educational qualifications, and geographic location.We are an in-office working environment. The members of our Legal and Government Relations Department currently work in our Chicago at 8750 W. Bryn Mawr close to the Cumberland station for the O'Hare Blue Line, Evansville IN, Indianapolis IN, Troy MI and Minneapolis/St. Paul markets.Key AccountabilitiesHandle various general corporate and public company/SEC mattersPrepare, review and file proxy statements, reports (including 10-Ks, 10-Qs, 8-Ks and Section 16 reports) and registration statements with the SECAnalysis and prepare Board and Board Committee materialsHandle merger and acquisition activities, including target analysis, due diligence, negotiation of acquisition and ancillary agreements, regulatory applications, SEC filings and closing and post-closing mattersAssist with annual reporting and entity maintenance for our various subsidiariesReview and negotiate various corporate contracts, including confidentiality agreementsAdvise management at all levels with respect to various legal mattersReview and advise on corporate policies and procedures impacting coverage areasServe as a strategic legal partner and advisor to the business teamsCoordinate and handle various corporate projects as determined by senior legal leadershipQualifications and Education RequirementsMinimum of 5-10 years' experience at a major law firm or in-house legal department of a medium or large public company.Admitted and in good standing in the bar of at least one of the following states: Illinois, Indiana, Kentucky, Michigan, Minnesota or WisconsinAbility to apply sound legal analysis and practical business judgment to legal matters with a solutions-oriented approach that balances legal and business objectivesAbility to consult with and advise management at all levelsStrong written, oral and interpersonal communication skillsAbility to deliver timely, high quality work productAbility to work independently and collaboratively in a client-focused, team environmentDesired ExperienceStrong understanding of corporate and federal securities laws, rules and regulationsExperience in merger and acquisition transactions and processesStrong understanding of reports and processes for boards of directorsExperience in corporate governance including maintenance of subsidiary entitiesFamiliarity with one of more of the following areas also is desirable but not required: (1) intellectual property matters, (2) corporate insurance; and (3) executive compensation generallyExcellent analytical, communication and relationship-building skillsAbility to effectively communicate legal advice and engage with lines of business consistent with the Old National Bank's culture and business strategyDemonstrated collaboration and relationship-building skills across business units, risk, compliance and operations teamsOld National is proud to be an equal opportunity employer focused on fostering an inclusive workplace and committed to hiring a workforce comprised of diverse backgrounds, cultures and thinking styles.
