Senior Paralegals at Goodwin work side-by-side with attorneys to provide high-quality, cost-effective legal services on each of our sophisticated fund matters. Private Investment Fund Senior Paralegals collaborate with attorneys on complex fund formation, investor onboarding, and regulatory compliance matters across a wide range of private investment vehicles.What You Will Do:Prepares and reviews fund formation documents, including limited partnership agreements, operating agreements, subscription documents, and side lettersCoordinates and manages investor onboarding processes, including KYC/AML compliance and subscription trackingAssists with regulatory filings, including Form D, Form ADV, and other SEC and state filingsMaintains fund and entity records, including organizational charts and minute booksCoordinates closings and capital calls, including preparation of closing binders and investor communicationsConducts research on securities laws, investment adviser regulations, and fund-related compliance mattersInterfaces directly with clients, fund administrators, and service providers to ensure seamless execution of fund-related transactionsDevelops and implements best practices for fund documentation, investor communications, and compliance workflowsWho You Are:BA/BS degreeFor applicants in California Paralegal Certification in compliance with California Business and Professions Code Section 6450 required in California.Outside California, Paralegal Certification from ABA accredited institution preferred.5+ years of experience in private investment funds or related legal practiceExpertise in fund administration platformsAdvanced proficiency with Microsoft Word and Excel; experience with document automation tools preferredStrong organizational as well as verbal and written communication skillsHigh level of attention to detailCapable of handling multiple responsibilities at the same timeAdept at planning ahead and meeting deadlinesAbility to work well in a team-oriented environmentMust consistently meet hours thresholdDeep understanding of private investment fund structures, investor onboarding, and regulatory frameworksAbility to independently manage complex fund transactions and investor communicationsDemonstrated ability to apply prior knowledge to new fund structures and client needsStrong client service orientation with an understanding of fund sponsor and investor prioritiesProactive in staying informed of changes in fund-related regulations and market practicesSkilled in managing multiple priorities and deadlines in a fast-paced environmentFacile with technical tools, software and programs associated with the functionStandard business hours with the flexibility to work after hours including evenings and weekends as needed and ability to work in-office as required by the firm's hybrid work guidelines.Benefits and MoreAt Goodwin, you will discover your next career opportunity with a rewarding compensation package and comprehensive benefits, including:Health, dental, and vision insuranceLife and disability insuranceRetirement & Savings PlanEmergency back-up child and adult carePaid vacation, sick time off, and holidaysProfessional development and career advancement opportunitiesEmployee recognition and reward programsEmployee wellness and assistance programsEmployee discounts and perksThis position is eligible for overtime: YesThe target salary range for this position varies by location and is commensurate with relevant experience: Boston $103,000 - $141,000 | Los Angeles $123,000 - $170,000 | New York $107,000 - $147,000 | Orange County $123,000 - $170,000 | Philadelphia $94,000 - $129,000 | San Diego $123,000 - $170,000 | San Francisco $123,000 - $170,000 | Santa Monica $123,000 - $170,000
