This is an interim engagement for an attorney with deep grant-administration and Medicare/Medicaid experience who can serve as a hands-on subject-matter expert as the organization's federally funded work grows. You'll manage grant-administration transactions, draft and negotiate commercial agreements, and provide much-needed backup and added capacity to a lean legal team. Just as importantly, you'll act as a pragmatic business partner — guiding and educating internal stakeholders on what can and cannot be done in the contracting and sales process, rather than simply saying no.

Our client is a well-established, values-led organization delivering critical services across multiple U.S. states, frequently contracting with federal and state agencies. Its federally funded and grant-based work — including a growing Medicare/Medicaid and CMS portfolio — is expanding, and the legal team needs experienced support to keep pace. Legal is viewed as a strategic enabler, and this role will play a meaningful part in supporting the organization's mission and growth.

Key Details

• Engagement Type: Interim engagement (Epiq Counsel model)
• Hours: Part-time to start (approximately 20–30 hours/week), with potential to expand toward full-time as the workload grows
• Duration: Initial 3–6 months with strong potential to extend
• Work Model: Fully remote (U.S.-based)
• Client Exposure: Direct collaboration with the General Counsel and business leads, and direct interaction with clients and government agencies, including CMS
• Compensation: $100–$110 per hour, depending on experience

Responsibilities

Grant Administration & CMS (primary focus)

• Manage the organization's CMS (Centers for Medicare & Medicaid Services) grant-administration transactions end to end
• Serve as a high-level subject-matter expert interacting directly with CMS, clients, and internal business leads
• Apply 2 CFR / Uniform Guidance to day-to-day grant compliance — subrecipient monitoring, cost principles, allowable costs, and audit readiness
• Guide and educate business partners on what can and cannot be done during the contracting and sales process, managing expectations while protecting the organization

Commercial Contracts

• Draft, review, and negotiate a range of commercial agreements supporting the organization's programs and continued growth
• Provide backup and added capacity to existing counsel, ensuring redundancy in a critical, single-covered function

Cross-Functional Partnership

• Work closely with Legal, program teams, and business leadership across the pre-award, award, and post-award phases
• Operate as a visible, trusted business partner who balances legal rigor with operational practicality

Qualifications

• JD and active U.S. law license in good standing
• 8+ years of relevant experience across grant administration, government contracting, and/or Medicare/Medicaid regulatory work
• Deep grant-administration experience with hands-on fluency in 2 CFR / Uniform Guidance
• Medicare/Medicaid (CMS) regulatory expertise
• Strong hands-on commercial-contract drafting and negotiation skills — this is not a purely advisory role
• Ability to serve as a subject-matter expert interacting directly with CMS and clients
• Comfort operating in an evolving, fast-paced environment where structure is still being built
• A collaborative, solutions-focused style — able to guide the business to the right outcome rather than simply block

Preferred Experience

• Prior CMS / CMMI ("legacy CMS") program experience
• Public-sector, government-agency, or government-adjacent background
• Background in public health, healthcare, human services, or grant-funded organizations
• Experience building or refining grant-compliance and contracting processes
• Familiarity with multi-state operations and varying state requirements
