Location, Compensation & Benefits

• Chicago, IL – Hybrid
• $160,000-225,000 base + 10% target bonus

Position Overview

• The Corporate Counsel – Commercial Contracts & Legal Operations professional will support a range of legal and administrative activities involving commercial agreements, contract management, corporate documentation, and legal operations.
• This individual will review and negotiate agreements, coordinate contract execution, maintain organized legal records, and assist with the administration of corporate information.
• The position requires an attorney who is comfortable balancing substantive legal analysis with the organizational and operational responsibilities necessary to support an effective in-house legal function.
• Working closely with legal professionals and internal business stakeholders, the successful candidate will help maintain efficient processes, accurate documentation, and timely completion of legal assignments.

Key Responsibilities

• Review commercial agreements and identify provisions requiring clarification, modification, or additional legal consideration
• Assist with drafting, revising, and negotiating contractual terms
• Collaborate with internal stakeholders and external parties to resolve contractual matters
• Evaluate contractual obligations and help ensure agreements align with business and legal requirements
• Coordinate agreements through internal review, approval, execution, and final documentation
• Maintain organized records of executed agreements and supporting documentation
• Monitor contract status and follow up with stakeholders regarding outstanding items
• Track important contractual dates, renewal provisions, and other time-sensitive obligations
• Maintain accurate contract information within internal recordkeeping systems
• Support the development and improvement of contract management procedures
• Assist with maintaining corporate records and documentation for affiliated business entities
• Update and organize entity-related information as business requirements evolve
• Coordinate documentation needed for recurring corporate administration and internal reporting
• Review existing legal records to identify missing information or inconsistencies
• Partner with internal legal and business professionals on contract-related questions and operational matters

• Assist with preparing written communications, summaries, and other legal materials
• Identify opportunities to improve document organization and contract workflows
• Participate in initiatives involving legal technology, process improvements, and administrative efficiency
• Evaluate tools and systems that may enhance legal document management and information accessibility

Qualifications

• Juris Doctor (JD) degree required
• Approximately 3+ years of relevant legal experience preferred
• Experience within a corporate legal department, law firm, financial services organization, or other complex business environment
• Background reviewing, drafting, or negotiating commercial agreements
• Familiarity with contract administration and contract lifecycle management
• Understanding of contractual obligations, legal risk, and corporate documentation requirements
• Exposure to corporate entity administration or governance-related records is beneficial
• Experience with contract management platforms, document-management systems, or comparable legal technology
