About the Role

The Company is in search of an Associate General Counsel to join its expanding in-house legal team. The successful candidate will be responsible for providing legal advice on a wide range of corporate, securities, transactional, and business matters to the parent company and its subsidiaries. This role is pivotal in supporting the legal function as it grows to meet the needs of the business and offers the opportunity for significant public company exposure, as well as close collaboration with senior management and the Board. Key responsibilities for the Associate General Counsel include advising on SEC periodic reporting, proxy materials, and investor communications, as well as supporting insider ownership tracking and transaction reporting. The role also involves assisting with the preparation of Board, Committee, and annual shareholder meeting materials, maintaining corporate records, and engaging in various commercial and transactional legal activities. The ideal candidate will have a J.D. and active bar admission, with at least 7 years' of relevant experience, particularly in the areas of public company or securities law. Exceptional communication, judgment, and organizational skills are essential, as is the ability to work effectively across the business and with outside advisors.
