Join us!Job Description:This job is responsible for providing legal counsel on matters related to Corporate Transactions M&A (“Corporate M&A”) and Global Strategic and Sustainable Investments (“GSSI”) on all transactions (purchases, investments, sales and wind downs of businesses) and related matters, including coordination with the Corporate M&A and GSSI teams across Bank of America corporate functions, such as Corporate Secretary, Employment and Human Resources, Operations, Technology, Procurement, or Real Estate. Key responsibilities include reviewing legal documents, interpreting laws and regulations, performing legal research, and communicating legal advice to internal partners. Job expectations include directing the work of outside counsel on related matters and coordinating the work of Paralegals or other Legal staffResponsibilities:Analyzes legal issues and implications on products, services, and regulatory matters related to the Global Banking and Global Markets businessesCommunicates clear, concise, actionable, and business-informed legal advice, including occasionally to leadershipInterprets rulings, laws, and regulations from a compliance and business control standpointDrafts, reviews, and/or negotiates complex legal documents, such as engagement letters, debt agreements, offering documents, and legal opinionsGathers, assesses, and evaluates information from various sources with an open mind to make a judgment or inferenceSupports Corporate M&A and GSSI for company responses to government agency examinations and investigations, enforcement actions, private complaints, and litigationDirects the work of outside legal counsel, and may coordinate the work of other Legal staff and company subject matter experts such as IP/GIS, Bank regulatory, HR and tax, and trains, mentors, or supports the development of peersRequired Qualifications:Minimum of 7 years of experience as a practicing corporate and transactional attorneyActive license to practice law in at least one state or the District of ColumbiaExtensive experience advising corporations on the structuring and documentation of transactions involving complex issuesSelf-starter having the capability to operate with limited oversight and to interact confidently with senior management when required Experience to include advising on Corporate M&A, private equity, strategic investments, consortium transactions or third party investment fundsAbility to field issues across a diverse set of legal subject mattersDemonstrate highly developed oral and written communication skills;Ability to work in a fast-paced, demanding and collaborative environment with many stakeholdersDemonstrate confidence in risk managed decision making and judgmentDesired Qualifications: Substantial experience with a nationally-recognized law firm or in-house representing a significant financial institution is desired, but not requiredFamiliarity with bank regulations such as Volcker issues, the Federal Reserve Control Rule, Regulation W and regulatory authority as they relate to bank investmentsExperience advising senior management or boards on corporate governance issues relating to Corporate M&A transactions and investmentsAdvising clients on complex M&A and investment mattersSkills:AdvisoryInfluenceInterpret Relevant Laws, Rules, and RegulationsPolicies, Procedures, and GuidelinesRisk ManagementCritical ThinkingDecision MakingIssue ManagementLegal Drafting and WritingRegulatory ComplianceAttention to DetailCollaborationExecutive PresenceLegal Structures and Legal FormsProblem SolvingPresentation SkillsWritten and Oral CommunicationCorporate Governance ManagementStakeholder ManagementMinimum Education Requirement: Doctorate degree in related fieldShift:1st shift (United States of America)Hours Per Week: 40Pay Transparency detailsUS - DC - Washington - 1800 K St NW - 1800 K Street NW (DC1842), US - IL - Chicago - 540 W Madison St - Bank Of America Plaza (IL4540), US - MA - Boston - 100 Federal St - 100 Federal St Lp (MA5100), US - NY - New York - 114 W 47th St - 114 W 47th St - Ust (NY8114)Pay and benefits informationPay range$175,000.00 - $259,700.00 annualized salary, offers to be determined based on experience, education and skill set.Discretionary incentive eligibleThis role is eligible to participate in the annual discretionary plan.
