Associate General Counsel, Transactions

AbbVie

North Chicago, IL

Associate General Counsel supporting AbbVie's Business Development and Acquisitions team. The role involves drafting and negotiating complex transaction agreements including mergers, acquisitions, licenses, and collaborations while providing legal counsel on pharmaceutical and corporate matters.

Responsibilities

  • Draft and negotiate complex transaction agreements for mergers, acquisitions, licenses, and joint ventures
  • Conduct due diligence and interpret existing agreements to advise on transaction-related legal issues
  • Assess antitrust and competition risks across multiple jurisdictions for proposed transactions
  • Select, direct, and manage outside counsel on legal matters and project objectives
  • Supervise paralegals and legal support staff while advising senior management on strategic matters

Requirements

  • J.D. degree and state bar license or eligible within two years
  • 15+ years of transactional and/or pharmaceutical industry legal experience
  • Strong legal analysis, negotiation, and independent transaction management skills
  • Experience advising on complex contractual relationships and development collaborations
  • Experience with pharmaceutical licensing and collaboration transactions
  • Knowledge of antitrust, competition law, and pharmaceutical R&D legal issues
