Associate – Capital Markets, Finance and Securitization Practice Linklaters LLP seeks an Associate in New York, NY to draft, negotiate and document indentures, credit agreements, offering circulars and various other legal documents concerned with capital markets, finance and securitization practice. The role involves advising on legal structuring of complex financial mechanisms and serving as a key communication point between the US‑law practice and the global practice (including the UK, Germany, Hong Kong and Japan) on cross‑border deals that require legal analysis from multiple jurisdictions. Responsibilities Draft, negotiate and document indentures, credit agreements, offering circulars and other capital markets and securitization legal documents. Advise on the legal structuring of complex financial mechanisms. Act as the main liaison between the US‑law practice and global practice on cross‑border transactions. Provide specialized securitization‑related structuring advice for cross‑practice finance and corporate transactions involving asset‑backed securities or other asset‑backed finance structures. Facilitate legal research related to U.S. finance and securitization law, specifically on credit risk retention, bankruptcy and true sale, ERISA, and tax. Advise tier1 banks and Fortune500 companies on NewYork securities law and U.S. federal securities law, including Rule144A, RegS issuances, U.S. credit risk retention and Volcker Rule issues. Qualifications Master’s degree in law or a foreign equivalent. Three (3) years of experience in drafting, negotiating and finalizing documents related to financial transactions and agreements. Experience representing both corporate clients and financial institutions in domestic and cross‑border transactions. Proficiency in applying U.S. and local capital markets and finance law to global finance transactions. Experience drafting, negotiating and finalizing conditions‑predecessor deliverables. Knowledge of coordinating signing, closing and post‑closing processes of transactions. Ability to assist with the coordination of financial transactions. Admission to practice law in the State of NewYork. Compensation and Benefits The base salary range offered for this role is between $225,000 and $365,000, with total compensation potentially including discretionary bonuses and other benefits. Telecommuting and/or working from home may be permissible pursuant to company policies; when not telecommuting, the Associate must report to the work site.
