Corporate Counsel - Commercial

This position is listed on behalf of a partner company, who manages all applications and next steps. Our partner is looking for a Corporate Counsel - Commercial based in United States. This is a fully remote legal role supporting a growing healthcare and medical technology business across a broad range of commercial activities. You will provide practical, business-oriented legal advice to Commercial, Market Access, Payer Relations, and Sales teams. The role combines sophisticated contract work with healthcare regulatory counseling and strategic business partnership. You will negotiate customer, payer, service, technology integration, consignment, and other commercial agreements. Success requires strong legal judgment, commercial awareness, and the ability to translate complex regulatory requirements into practical guidance. You will collaborate closely with Legal, Compliance, Regulatory, Sales, Market Access, and other cross-functional teams. This opportunity offers significant exposure to strategic transactions and evolving legal issues across healthcare, medical devices, digital health, and life sciences. Accountabilities - Provide practical, business-focused legal advice to Commercial, Market Access, Payer Relations, and Sales teams on commercial programs, pricing structures, customer arrangements, and strategic initiatives. - Draft, review, and negotiate a broad range of commercial agreements, including customer, payer, service, consignment, EHR integration, and other strategic contracts. - Advise stakeholders on healthcare laws, regulations, and industry standards affecting commercial activities, including fraud and abuse, compliance, billing, reimbursement, privacy, and transparency requirements. - Partner with Legal, Compliance, Regulatory, Sales, Market Access, HEOR, Payer Marketing, Customer Experience, and other teams to develop practical legal strategies that support business objectives while managing risk. - Lead or support negotiations for strategic commercial transactions, balancing legal requirements, business priorities, customer needs, and operational considerations. - Develop and improve contract templates, negotiation playbooks, processes, and other tools that increase consistency and efficiency across commercial legal support.

- Monitor legal and regulatory developments affecting medical devices, digital health, healthcare, and life sciences, translating changes into actionable guidance for internal stakeholders. - Conduct legal research and prepare written legal guidance, analyses, and other materials supporting commercial objectives and broader Legal Department priorities. - Advise stakeholders at varying levels of the organization, including senior Legal and business leadership, using sound judgment and strong business acumen. Requirements - Juris Doctor (JD) degree and active license in good standing to practice law in at least one U. S. state and one federal jurisdiction. - 5+ years of experience with commercial agreements, ideally including experience in health law, medical devices, life sciences, or a related healthcare environment. - Working knowledge of healthcare regulatory requirements, including Anti-Kickback Statute, Stark Law, HIPAA, HITECH, and the National Physician Payment Transparency Program (Sunshine Act). - Experience with commercial and government payer matters is a plus. - Strong legal research, writing, analytical, drafting, and negotiation skills. - Excellent ability to communicate complex legal and regulatory concepts clearly to business stakeholders. - Strong business judgment and the ability to balance legal requirements with commercial objectives and operational realities. - Highly organized and capable of managing multiple projects and deadlines in a fast-paced, high-volume environment. - Self-motivated and able to work independently while collaborating effectively with cross-functional teams.
