Legal AssociateWork with Senior Counsel and business units on various legal issues regarding customers; policies and procedures; employment and other legal issues.Legal research and analysis; compliance with subpoenas, discovery requests, etc.Prepare agreements, documents and pleadings relating to litigation and non-litigation matters.Contract management --- analyzing vendor contract and loan document requirements, special provisions, terms and conditions to ensure compliance with federal and state laws, banking regulations.Assist Board Clerk including managing the Board minute books; drafting director and shareholder resolutions and minutes; and assisting with stock administration.Assist with FDIC and other regulatory and public filings.Basic understanding of banking and the legal process with a JD from an accredited law school.3 - 5 years of legal/contract administration experience in banking/financial service industry.Travel to other bank offices and on occasion, to other sites to attend meetings, conferences, workshops, seminars, etc.
