Associate General Counsel assists in protecting an organization’s legal interest and maintaining its operations within the scope established by law. Provides hands-on counsel to all levels of executive staff and manages the operations of legal department. Being an Associate General Counsel identifies and analyzes legal issues, drafts key documents, presents clear recommendations to top management, and assures legal compliance. May manage attorneys in several legal specializations including tax, litigation, acquisitions, IP, etc. Requires a Juris Doctor degree from an accredited law school. Additionally, Associate General Counsel requires admittance to a state bar. Typically reports to the Top Legal Executive or General Counsel. The Associate General Counsel manages a departmental function within a broader corporate function. Develops major goals to support broad functional objectives. Approves policies developed within various sub-functions and departments. To be an Associate General Counsel typically requires 8+ years of managerial experience. Our company is looking for a Associate General Counsel to join our team.

Responsibilities:

  • General corporate compliance and legal assistance, including but not limited to drafting and review of contracts;
  • Closing on mortgage loan, mezzanine loan and preferred equity originations;
  • Closing on acquisitions and sales of commercial real estate, and closing on joint ventures with third party partners in pursuit of the same;
  • Identify and assess legal risks and opportunities within the research and innovations areas;
  • Support the effective and efficient use, coordination, and management of outside counsel;
  • Advise on corporate structure, governance and proper operation of international subsidiaries;
  • Knowledge of blockchain technology and the legal issues arising from blockchain applications;
  • 8+ years of legal experience, including experience working at or for technology companies (either in-house or at a global law firm);
  • J.D. degree (or foreign equivalent) and membership in at least one US state bar;
  • Assist with other legal department objectives;
  • Preparing and monitoring various state regulatory filings, including form/rate, license applications, financial, and related filings;
  • Drafting memoranda and advisory opinions; reviewing and advising on legal issues related to contracts, branding, and web-based advertising;
  • Drafting and negotiating client and vendor contracts, amendments, addenda, statements of work, and similar documents;
  • Managing a team of experienced professionals;
  • Manage and coordinate outside counsel.

Requirements:

  • Sit for an extended time in front of a computer;
  • Requires strong written and oral communication and interpersonal skills as well as excellent judgment in the handling of legal matters;
  • A familiarity with general contracting matters, including risk allocation and intellectual property terms, is required;
  • Additional experience in privacy, intellectual property, employment, and litigation in a pharmaceutical or biotechnology environment is preferred;
  • Occasional travel (up to approximately 10% of time) may be required.
