Our company is looking for a Corporate Paralegal to join our team.

Responsibilities:

  • Prepare all documents required to form a corporation;
  • Filing of electronic closing binders;
  • Working collaboratively with internal team members and external clients;
  • Work with clients and opposing counsel in deal process;
  • Maintaining and updating corporate minute books and related corporate files;
  • Assisting with paperwork needed by regulatory bodies;
  • Responding to requests for information including due diligence requests;
  • Working with outside counsel to coordinate filings and other corporate requirements under local law;
  • Interpret contractual provisions ;
  • Administer U.S. subsidiaries, including draft minutes, prepare secretary certificates, file annual reports and administer global subsidiary database;
  • Working with attorneys and other colleagues on corporate and other projects as needed;
  • Other duties as assigned;
  • Performing legal and other technical research;
  • Take a hands-on approach, including drafting correspondence with diligence and care;
  • General Corporate Governance – board meeting minutes, regulatory filings, etc.

Requirements:

  • Bachelor’s degree preferred or equivalent experience;
  • Strong oral and written communication skills;
  • Ability to learn new technology;
  • Creating documents related to new corporate entity formations;
  • Proficiency with Microsoft Word and PowerPoint is preferred;
  • Working with members of the Company’s various departments on special projects and initiatives;
  • Producing documents related to the development and implementation of corporate policies and templates;
  • Perform other related duties as assigned;
  • Working on procedures and documents pertaining to finance, securities, mergers and acquisitions, trademarks, and patents;
  • Associates degree or relevant experience preferred;
  • Knowledge of corporate law is preferred;
  • Experience handling title problems;
  • Fluency with Microsoft Office, Apple and Google application suite and equivalents;
  • Highly organized and detail oriented;
  • Maintain the corporate minute books for the Company and its subsidiaries.
