Corporate Legal Counsel

Boise Cascade is looking to hire Counsel to join the Corporate Legal team. This successful candidate will likely have a high level of expertise and autonomy to handle complex legal matters and advise on business decisions. This position will handle a wide range of legal and risk matters, including contract review and negotiation, regulatory compliance and risk management, as well as liaise between Boise Cascade leadership and external vendors, with a focus on vendor contracts in the technology and privacy areas. The successful candidate will be based out of the corporate HQ building in Boise, ID. The role is in-office at least four days per week. Travel may be required occasionally to locations across North America. Contract Review and Negotiation: Draft, review, and negotiate a variety of agreements (e.g., vendor contracts, service agreements, NDAs, licensing) between Boise Cascade and its suppliers, customers, agents, employees, and other partners.

Regulatory Compliance and Risk Management: Advise internal stakeholders on legal risks, obligations, and business strategies to ensure compliance with local, state, and federal regulations. Proactively assess the business interruption, legal and liability implications of business decisions and ensure key stakeholders understand associated risks and mitigation strategies. Due Diligence Review: Assist in M&A transactions, including due diligence, transaction documents, and integration efforts. Legal Liaison: Coordinate and manage outside counsel on specialized legal matters as needed. Partner with cross-functional teams (Finance, HR, Operations, Marketing) to support business objectives and mitigate risk.

Litigation & Dispute Management: Represent the company in legal disputes where appropriate and oversee and direct litigation handled by external counsel, including but not limited to litigation involving product liability and commercial disputes, employment law, and personal injury.

Crisis Management: Lead legal response to product recalls, contamination claims, or other crises, coordinating with regulatory bodies and external counsel as needed.

Policy Development: Support the development and implementation of internal legal policies, training, and processes. Draft, review, and maintain internal legal policies and procedures to mitigate risk and ensure compliance with all applicable laws and regulations.

Legal Research and Training: Monitor and ensure compliance with applicable laws and regulations across relevant jurisdictions.

Graduate of ABA accredited law school

• Strong business acumen with a practical, solution-oriented approach to legal issues
• Extensive experience in contracts, risk management, and regulatory compliance with an understanding of financial implications of legal decisions
• Requires the application of sound professional skill and judgment, a broad knowledge of company operations, policies and procedures, the ability to properly analyze legal, business and practical issues
• Considerable legal experience in a specialized area of the law, including commercial negotiations and transactions
• 5+ years' experience in a law firm or in-house setting
