Senior Corporate Paralegal Specialist (10+ Years)
Our client, a leading global law firm, is seeking an experienced Corporate Paralegal Specialist to support its corporate practice. Multiple office locations available, including major U.S. markets, with a hybrid work arrangement.
Maintain and manage capitalization tables, stock ledgers, and option records (experience with tools such as Carta or similar platforms preferred)
Draft and organize corporate documents, including formation documents, amendments, consents, merger documents, and closing deliverables
Assist with due diligence and data room management
Support basic transfer agent functions, including stock issuances and transfers
Minimum 10+ years of corporate paralegal experience within a law firm or similar environment
Strong understanding of corporate law, including familiarity with federal securities laws and key state corporate statutes (e.g., Experience managing complex transactions and large document workflows
Advanced organizational, analytical, and project management skills
Proficiency with legal technology tools, document management platforms, and data rooms
Bachelor’s degree and/or Paralegal Certificate preferred
Must meet applicable state paralegal requirements (where applicable)
Hourly range: approximately $56.92 – $86.16, depending on experience and location
Overtime eligibility in accordance with applicable laws
