Job Title:Commercial CounselJob Description:The Role: Entegris is seeking a Commercial Counsel to join the Entegris Law Department. This role will serve as a primary legal partner to Entegris’s Global Procurement organization and broader business, leading the structuring, drafting, and negotiation of complex procurement agreements, with additional support on sales agreements and other commercial matters as needed. This individual will report directly to the Senior Commercial Counsel at Entegris’s corporate headquarters in Billerica, MA. What You'll Do:Serve as a primary legal advisor to Entegris’s Global Procurement organization and business stakeholders on commercial matters. Review, draft and negotiate supply, contract manufacturing, lease and other complex procurement agreements, with additional support on sales agreements and other commercial transactions as needed. Collaborate directly with Global Procurement and business stakeholders to provide day-to-day legal advice and address issues that arise in active commercial relationships. Drive continuous improvement of contract templates, positions, and negotiation strategies. Contribute to contract management process improvements, including the creation and implementation of CLM system enhancements, contract negotiation playbooks and AI-driven solutions. Support cross-functional strategic initiatives across procurement, legal, and business teams as needed. 4+ years of commercial contracting experience (procurement and/or sales agreements). Experience in semiconductor, manufacturing, or high-tech industries preferred; Strong negotiation, drafting, and issue-spotting skills. Clear and effective communicator with the ability to understand business objectives and align legal strategy to advance those objectives while protecting the company. Experience with or strong interest in AI tools and legal technology. Fluency in English required; additional languages (Chinese, Japanese, or Korean) are a plus.
