About the Role The Legal Counsel functions as part of an integrated global team, reporting to the Head of Legal (North America). The role supports the development of best‑in‑class internal legal support for the Americas and collaborates with the global legal organization to provide commercial and strategic legal advice across licensing, commercial contracts, intellectual property, data privacy, compliance, and litigation.

Responsibilities Work with the Legal Director for Sales to draft and negotiate license agreements with academic, corporate, and government customers in North and South America.

Review, draft, negotiate, and advise on a broad range of commercial contracts, including acquisition and exploitation of intellectual property rights and publishing contracts.

Serve as a trusted business partner by delivering commercial and strategic advice aligned with business objectives.

Provide advice at all levels—from executive to operational—on legal matters such as contracts, intellectual property, data privacy, licensing, and compliance.

Deliver risk analysis and recommendations to the VP of Sales for the Americas.

Support litigation matters, subpoenas, and internal investigations covering civil, commercial, regulatory, and employment disputes.

Assist discovery processes, including document collection, review, and production while ensuring compliance with legal and regulatory requirements.

Review and analyze pleadings, motions, and other litigation documents.

Collaborate with internal stakeholders and external counsel on litigation strategy.

Contribute to legal team strategy and knowledge development.

Provide training on contract negotiation and licensing to core commercial sales teams in the Americas.

Experience, Skills, and Qualifications Juris Doctor from an ABA‑accredited law school.

Minimum of 4+ years’ experience at a law firm or in‑house with general corporate, commercial, or intellectual property matters.

Strong commercial awareness.

Good legal research, analysis, and drafting skills.

Desirable Experience in publishing and media law, including copyright, defamation, privacy and publicity rights, and internet and social media.

Proficiency in Spanish or Portuguese.
