Vi is hiring a Senior Counsel to support the General Counsel in three areas: corporate governance for our Israeli parent company, corporate and equity matters across the group, and commercial contracting. The Senior Counsel will be a key legal partner across the business – facilitating customer and commercial contracting, supporting financing, M&A and corporate transactions, and providing hands-on legal advice across the full range of the company's legal matters.
Commercial Contracting

Draft, review and negotiate customer, vendor, partner and reseller agreements under Vi's playbooks, escalating to the General Counsel where needed.
Support DPAs, BAAs and data terms in line with Vi's positions.
Help maintain contract templates and playbooks.
General Legal Support

Help develop and implement internal legal policies.
Partner with the Corporate Secretary on governance for the Israeli parent, preparing board and shareholder meeting materials, resolutions and minutes, and keeping corporate registers and Registrar of Companies filings current.
Help keep the company aligned with the Israeli Companies Law, including the approval process for related-party transactions.
Work with Finance and the plan trustee on equity plan administration, including grants, exercises and related filings.
Corporate and Equity

Support equity plans, option grants, exercises, vesting, share transfers and cap table administration.
Support financings, secondary transactions and M&A, including diligence, data rooms, documentation and closings.
Law degree (LL.US (NY or CA preferred) bar admission or US-law experience an advantage.

• Experience with Israeli equity administration, financings and M&A.
• Strong commercial contracting experience, particularly SaaS agreements with US enterprise customers.
• Fluent English; professional Hebrew for Israeli corporate records and filings.
