Practice: Corporate – Debt Finance or Fund Formation. Sophisticated debt facilities, private credit, venture debt, fund formations, and related corporate transactions for emerging companies, lenders, and investors.

Duties and Responsibilities:
Structure, negotiate, and document complex debt financing transactions (venture debt, asset-based lending, revolving facilities).
Lead or support fund formation matters for private credit and venture funds.
Draft and review credit agreements, security documents, intercreditor agreements, and equity documents.
Advise clients on corporate governance, deal structuring, and closing high-value transactions.

Core Requirements (Flexibility for Exceptional Candidates):

• JD from an accredited law school and active bar admission (NY preferred).
• 5–12+ years of relevant experience in either debt finance (private credit / venture debt) or fund formation at a reputable law firm.
• Strong drafting, negotiation, and business acumen skills.
