What Corporate Development Management contributes to Cardinal Health
Corporate Development and Strategy is responsible for leadership, direction, and expertise in the development of business strategy, strategic management disciplines and business analytics that support the company's mission vision and valuation objectives, in close collaboration with business leaders.
Corporate Development Management is responsible for strategic oversight and leadership direction within the Corporate Development function.
The Director, Corporate Development will be a key member of the team, focusing on M&A deal execution, upstream inorganic strategic planning, deal approval processes, and deal structuring and negotiations. This includes working extensively with external stakeholders and internal cross‑functional teams, while supporting business and executive leadership in deal evaluation, execution, and venture portfolio strategy. As part of a highly visible and impactful team, the Director will have demonstrated experience flourishing in rapidly evolving environments and possess exceptional analytical and relationship building skills.
Identify and investigate critical due diligence items that will impact modeling assumptions and inform integration planning.
Financial Analysis: Create and review detailed financial models and valuation analyses to assess the financial impact of potential transactions. Evaluate the financial feasibility and return on investment of each M&A opportunity.
Deal Structuring: Collaborate with Tax, Legal, Accounting and Treasury teams to structure transactions.
Deal Approval: Support communications with Corporate CEO, CFO, Segment CEOs and CFOs, Chief Accounting Officer, Treasurer, Business Unit GMs and other members of Cardinal Health leadership. Integration Planning: Collaborate with Integration team and cross‑functional teams to ensure a level and timing of integration consistent with business needs, budget and transaction model.
Separation Planning: Support the development of the separation plans for divestitures and the development and implementation of transition services agreements.
Compliance and Governance: Ensure compliance with all legal, regulatory and Cardinal Health requirements throughout the M&A process. Bachelor’s degree in Finance, Accounting, Economics, Engineering or related field preferred. 6+ years’ experience in corporate development, mergers & acquisitions, investment banking, private equity, venture capital, strategy or finance preferred.
Direct experience executing M&A transactions from start to finish, utilizing strong financial capabilities and project management skills, including negotiation experience and ability to work effectively with functional experts from Legal, Tax, Accounting, Treasury, etc. to appropriately structure complex transactions.
Direct experience with M&A valuation and financial modeling, sufficient to lead, coach, and develop a team of dedicated valuation and project management resources.
Develops and implements policies and procedures to achieve organizational goals.
Assists in the development of functional strategy.
Decisions have an extended impact on work processes, outcomes, and customers.
